1. WELCOME.

These AngeLink, Inc. (“AngeLink”) Terms of Service (“Terms of Service”), constitute a legal, binding contract and apply to your access to and use of the AngeLink platform, including the website located at www.Angelink.com and mobile applications (the “AngeLink Platform” or “Platform”) including for activities related to the AngeLink Foundation. AngeLink reserves the right, at our sole and exclusive discretion, to update and/or amend these Terms of Service. When these Terms of Service are updated and/or amended, the above date of the Terms of Service are updated and we will send you an email notifying you of the updates. Your continued access to or use of the AngeLink Platform constitutes your acceptance to any updated Terms of Service. If for any reason you do not agree to or accept the updated Terms of Service, you must discontinue your access to and use of the AngeLink Platform and exit immediately.

The Platform is for individuals, groups, entities, Charities, and non-profit organizations (“Campaign Organizers”) to raise money (“Donations”) from individual donors (each, a “Donor”) for the benefit of an individual, group, entity, Charity, or other non-profit organization (each, a “Beneficiary”) for a specific purpose (each, a “Campaign”). A “Charity” is a non-profit, tax-exempt organization recognized by the United States Internal Revenue Service as a 501(c)(3) or (c)(4) charitable organization. Campaign Organizers, Donors, Beneficiaries, and anyone who accesses or uses the Platform are referred to in these Terms of Service individually and collectively as a “User” or “Users”. For purposes of these Terms of Service, “User” and “Users” may be referred to as “you”, “your” and/or “yours”. “AngeLink” may be referred to as “us”, “we”, and/or “our” and shall mean and include AngeLink and its subsidiaries and affiliates, and its and their investors, officers, directors, employees, agents, representatives and assigns.

The Platform enables Campaign Organizers to raise money by connecting with Donors and processing Donations. The Platform does not represent a solicitation of Donations by AngeLink, or the AngeLink Community Foundation and we do not engage in solicitation activities or consult on the solicitation of Donations for any individual or organization except when Donations are directly raised for the AngeLink Community Foundation (“ANGELINK COMMUNITY FOUNDATION”). By using the Platform, you understand and expressly agree and acknowledge that AngeLink is not responsible for the Donations raised by Campaign Organizers for Beneficiaries, nor the ultimate use of Donations by Beneficiaries. AngeLink is not a 501(c)(3) charity or nonprofit organization, creditor, agent, financial institution, or broker.

All content and information provided by AngeLink on the Platform is for informational purposes only. AngeLink does not represent, warrant or guarantee the completeness, accuracy, or reliability of any such content or information. Users expressly agree and acknowledge that access to and use of content and information is at their own risk. No content or information is intended to provide legal, tax, financial or professional advice of any kind whatsoever. Users should consult appropriate professionals prior to making any decisions regarding Campaigns and/or Users, including Beneficiaries, Charities, Donors or any other content or information relating to the Platform. Further, AngeLink does not have control over the conduct of any Users or any User Generated Content (defined below). AngeLink hereby disclaims, and Users hereby release AngeLink from, any and all liability and responsibility, to the fullest extent permitted by law, in any way related to: (A) conduct of any Users; (B) User Generated Content; and (C) the completeness, accuracy and/or reliability of content or information provided by AngeLink on the Platform.

Users are responsible for maintaining the confidentiality of their own password and login information and are solely responsible for all information and content posted under their account. Users agree to notify AngeLink immediately if they believe there is any unauthorized use of their account or password or if they believe there is any breach of security. Users also agree to properly sign out of their account at the end of each session when accessing the Platform. AngeLink shall not be liable whatsoever for any damage or loss that may occur from the failure to comply with the AngeLink Terms of Service information as required herein. AngeLink reserves the right to temporarily or permanently change, suspend, or discontinue the Platform (or any part thereof) at any time and for any reason with or without notice, and without any liability to you or to any third-party for any claims, damages, costs, or losses resulting from a suspension or discontinuance of the Platform.

2. NO GUARANTEE OF A SUCCESSFUL FUNDRAISING CAMPAIGN.

AngeLink does not represent, warrant or guarantee that a Campaign will obtain a certain number of Donations, or any Donations at all, and we nor do we endorse Campaigns or Users, including without limitation, Beneficiaries, Campaign Organizers, Charities and Donors. Donors are solely and exclusively responsible for determining the appropriateness of contributing to any Campaign or User, including without limitation, Beneficiaries, Campaign Organizers, Charities and Donors. AngeLink makes no representation, warranty or guarantee, express or implied, about the success of Campaigns and we expressly disclaim, and Users hereby release AngeLink from, all liability and responsibility for the subjective success or failure of Campaigns.

3. ORGANIZING A FUNDRAISING CAMPAIGN.

As a Campaign Organizer, all content and information you provide regarding your Campaign and/or the Beneficiary must be complete, accurate, and may not intentionally or negligently deceive Users on our Platform. Donations made to your Campaign must be used solely as described in the Campaign. If you withdraw Donations raised on behalf of someone else (i.e., the Beneficiary), such Donations shall be given to or used on behalf of the Beneficiary as described in the Campaign.

When you raise funds for a Charity, all Donations shall be used solely for the Charity and/or the intended Nonprofit Beneficiary. The Charity must have a valid tax-exempt status under applicable law, including as an IRS tax-exempt organization, and be properly registered with the IRS and as otherwise required by federal and state law.

Campaign Organizers will be required to register and/or log in to the Platform to access certain features and functionality. By registering and/or logging in to the Platform, you expressly agree to provide complete, accurate, and timely content and information about your Campaign and the Charity. All Campaign Organizers must register on the Platform using their true identities (or the identities of the Charities’ authorized representative(s)), including their name, address, image or video of the Campaign Organizer, Charity, or the Beneficiary of the campaign. You also agree to keep all registration information up to date and current at all times.

AngeLink may use third-party data services to maintain its database of United States-based 501(c)(3) and (c)(4) charities (“AngeLink’s Search Database”), and these third parties may have the authority to enforce the provisions of the Terms of Service as it relates to third-party data. You acknowledge and agree that AngeLink may share information provided by you to these third parties so that they may enforce their rights regarding your use of their data. If you as an authorized representative of a Charity prefer to have your Charity removed from AngeLink’s Search Database, please contact AngeLink at legal@angelink.com and provide the name of your Charity, your name, address, title, email, and phone number. Please further note that if your Charity is removed from AngeLink’s Search Database, it will not be able to receive Donations on the AngeLink Platform. Campaign Organizers are solely responsible for compliance with all applicable laws and policies in relation to their Campaigns. All Users also solely responsible for all User Generated Content (defined below) posted, uploaded, displayed, described, or published in any manner on our Platform. Users agree to cooperate with any request AngeLink may make for evidence that we believe is necessary to verify your compliance with our Terms of Service.

There are no Platform fees to establish a Campaign. However, standard payment processing fees apply (“Payment Processor Fees”). To learn more about applicable payment processor fees see the PAYMENT PROCESSING section below.

4. BACKGROUND CHECKS.

If AngeLink, in its sole discretion, believes that a Campaign may be misleading, fraudulent or inaccurate for any reason or that a Campaign Organizer may potentially deceive Donors, AngeLink may require a third-party background check be conducted on the Campaign Organizers and/or the Beneficiaries prior to withdrawal of funds. Depending on the outcome of the third-party background check, AngeLink reserves the sole and exclusive right to conduct further investigations and/or put a hold on the account of the Campaign Organizer or Beneficiary as may be deemed necessary, in its sole discretion. AngeLink is not a background check company and does not perform background checks. AngeLink uses a third-party background check vendor to perform background checks. Campaign Organizers and Beneficiaries who are requested by AngeLink to complete a background check will receive communications from the third-party background check vendor requesting to complete and submit an authorization for the background check. AngeLink does not process or store background check reports and does not control how the background check information is used. However, the third-party background check vendor will notify AngeLink if the Campaign Organizer and/or Beneficiary passes or fails the background check based on relevant factors as determined by AngeLink. By completing a background check, Campaign Organizers and Beneficiaries agree to the third-party background check vendor’s terms of use. Background checks are conducted in an effort to help verify the Campaign Organizer and/or the Beneficiary in an effort to build trust among the community, however, AngeLink does not warrant or guarantee this.

If the Campaign Organizer and/or the Beneficiary (as applicable) is notified that they failed the third-party background check, the Fundraiser and/or the Beneficiary (as applicable) will be advised that they may contact the third-party background check company to file a dispute and provide documents to remediate any inaccuracies in the background check per the Fair Credit Reporting Act.

4.1 LIMITATIONS OF BACKGROUND CHECKS.

Background checks are not automatically performed on Campaign Organizers and/or Beneficiaries. If a background check is deemed necessary, Campaign Organizers and Beneficiaries may be required to complete background checks prior to the release of funds. AngeLink uses third-party background check vendors to perform background checks for Campaign Organizers and Beneficiaries. Background checks can vary in comprehensiveness according to variations among federal, state, county and/or local databases and availability of criminal history and information. Additional limitations may apply in certain jurisdictions as well. Background checks are performed only with the consent of the person about whom the background check is being performed, using information that is provided by the subject of the background check, such as name, home address, date of birth and social security number. If incorrect information is provided by the subject of the background check, the results of the background check may be inaccurate or have incorrect identifying data, which may impact the results of the background check. Additionally, some databases and/or criminal records may not be reported promptly or accurately, or due to electronic or human error, results may be incomplete or inaccurate. Background checks may be helpful to uncover potential red flags, however, Donors should not solely rely upon the results of background checks, or absence thereof, to ensure the validity of a Campaign. AngeLink recommends that Donors conduct their own diligence on Campaigns, Campaign Organizers and Beneficiaries, and that background checks serve as only one portion of a Donor’s diligence.

5. DONATIONS.

When you make a Donation, it is your responsibility to review and understand how your money will be used. You expressly acknowledge and agree that neither AngeLink nor the AngeLink Foundation is not responsible for any representations, warranties, guarantees, offers or promotions that may be made by Users or Campaigns. AngeLink does not verify User Generated Content, nor do we represent, warrant or guarantee that the Donations will be used in accordance with the purpose described by a Campaign Organizer or in a Campaign.

Donors can choose to opt out of publicly displaying their Donation by checking the “hide” button during the Donation process. Please be advised that your Donation information may be publicly available without your knowledge if search engines search and index Donor information. All Donors should consider if they want their Donation information anonymous or public. To learn more about how we use, collect, and store information, please see the AngeLink Privacy Policy.

Donors are not able to impose restrictions on the use of their Donations to Charitable Organizations or Nonprofits, and Charities and Nonprofits shall have sole discretion to determine how all Donations are used for charitable purposes.

Donors are required to provide their credit card or other form of payment that will be linked to their account. Donors expressly agree and warrant that their information is correct and true and that they are fully authorized to use this payment information. By donating to a Campaign, Donors understand and agree that Donations are generally not refundable, except for in special circumstances. For more information on AngeLink’s refund policy and eligibility, see the REFUNDS section below.

5.1 TAXES.

Your Donation and any Payment Processor Fees may not be tax deductible or eligible for a tax credit. AngeLink and the AngeLink Foundation have no liability for any claim by any local, state, federal, or any other tax authority with respect to the characterization on any applicable tax return of any Donation on our Platform. All Users should consult their tax advisor(s) regarding the tax deductibility and tax treatment of Donations.

AngeLink is not responsible, and nor shall be liable, for any Charities’ use of any Donor information. Donors must provide AngeLink and/or the AngeLink Foundation with such information as is required to enable the issuance of a Donation receipt from the AngeLink Foundation. Donors expressly agree and acknowledge that their personal information may be shared with Charities and may be used by Charities pursuant to the Charities’ own policies. Donors thus may wish to review the policies from such Charities. Donors making Donations to Charities should review any state non-profit disclosures that may be applicable or require written disclosures when soliciting public contributions to Charities.

For all potential local, state or federal taxes, it is your responsibility to determine if any taxes apply to Donations, and it is your sole responsibility to collect, report, or remit the proper tax if any is due to a tax authority. This is not the responsibility of AngeLink and the AngeLink Foundation.

You represent you are not providing any goods or services in exchange for donations. AngeLink and the AngeLink Foundation will not provide you with any tax documentation for money raised on your fundraiser, nor will it report the funds you collected as earned income.

5.2 PAYMENT PROCESSING.

Users agree to the terms of all AngeLink third-party payment processors and other service providers required to provide Users access to and use of the Platform. If AngeLink or a payment processor finds that a User provided false, incorrect information, or information that violates these Terms of Service or the terms of service of our third-party service providers, AngeLink reserves the right to immediately terminate and/or suspend such User’s account and/or Campaign. Any fine levied by state, local, or federal authorities as a result of a User violating these Terms of Service or the terms of service of our third-party service providers must be paid solely by such User. AngeLink reserves the right to exchange information with our third-party service providers as required and pursuant to the AngeLink Privacy Policy.

AngeLink uses third-party transaction processing and payment processing partners to bill Donors using the payment information provided. Donors acknowledge and fully agree that by making a Donation to a Campaign or Charity, you are agreeing to all the applicable terms of all AngeLink third-party payment processing and transaction processing vendors. Users are subject to the payment processor’s terms and conditions. AngeLink is not a payment processor and does not hold funds. AngeLink does not withhold funds for tax purposes or otherwise. Charities are solely responsible for taxes based on applicable federal, state, local applicable taxes based on their net income and gross receipts.

AngeLink reserves the right to suspend, reverse, or refuse any User transactions or Donations that we believe (in our sole and exclusive discretion) may harm the interests of our Users, vendors, payment processors or the public for any reason, or that may expose a User or AngeLink to any liability or risk.

5.3 ACCOUNT HOLDS.

AngeLink reserves the right, in its sole and exclusive discretion, to suspend or put a hold on a Campaign account, restrict any withdrawals (“Withdrawals”), secure a reserve, or reverse an ACH transfer or other form of payment or transfer of funds for any reason to protect Users and/or the Platform. AngeLink reserves the right to do this if we believe, in our sole and exclusive discretion, that information provided by a Campaign Organizer is misleading, inaccurate, false, or fraudulent. We expressly prohibit the collection of funds that are being used in an inappropriate, unethical, or illegal manner, for example:

5.3.1 If Campaign funds are directly transmitted to the Beneficiary or person entitled by law to act on behalf of a Campaign Organizer rather than the Campaign Organizer itself.

5.3.2 If AngeLink believes, in our sole and exclusive discretion, that a Campaign Organizer, Beneficiary or a Campaign has violated these Terms of Service for any reason or that AngeLink believes that the Campaign Organizer is defrauding Donors or engaging in illicit or inappropriate or unethical activity of any kind.

5.3.3 If AngeLink believes, in our sole and exclusive discretion, that there is erroneous, fraudulent, or suspicious donation activity and/or we are required by law enforcement or court order, subpoena, injunction, or writ under applicable law or regulation to report the activity.

5.4 WITHDRAWALS.

AngeLink strives to make Withdrawals on a timely basis. However, such Withdrawals may not be available immediately, as AngeLink does not warrant or guarantee that Withdrawals will be available to you within any specific time frame.

AngeLink fully disclaims any and all responsibility for a delay of a User Withdrawal or any other reason that you may be unable to access and use Withdrawals promptly. AngeLink also cannot be responsible for enabling Withdraws for a specified time period or for any issue that may arise from a delay or inability to process a Withdrawal. All Campaign Organizers are each fully responsible for providing accurate and complete information for AngeLink to properly process a Withdrawal, including all proper bank account information.

6. USER GENERATED CONTENT.

When you post text, descriptions, videos, data, images and photos, GIFs, trademarks, comments, content and other information (“User Generated Content”) on the AngeLink Platform, it is available to the public. User Generated Content may be shared with other Users and may be displayed on the AngeLink Platform, including any Campaign Organizer or Beneficiary’s personal information in the Campaign description.

AngeLink collects information from communications with Users as well as User questions, comments, and ideas for Platform enhancements, product modifications, or suggestions. By sending AngeLink these types of unsolicited requests, suggestions or information (“Unsolicited Material”), you agree that AngeLink is not bound by any confidentiality obligations, expressed or implied, with respect to this Unsolicited Material. You also acknowledge that AngeLink may have similar product ideas, modifications, and/or enhancements under consideration or potentially in development. You agree that AngeLink has unrestricted use and ability to disseminate all Unsolicited Material for any purpose whatsoever without acknowledgment or compensation to any User. If you choose to submit Unsolicited Material, you hereby grant to AngeLink an irrevocable, non-exclusive, royalty-free, perpetual, worldwide, fully transferable license to use, reproduce, display, distribute, modify, create derivative works of, and commercially utilize any and all Unsolicited Material. You also irrevocably waive, and cause to be waived, against AngeLink and its Users any claims and assertions of any moral rights contained in such Unsolicited Material on our Platform and all rights as stated herein shall survive any termination of your account or the Platform.

YAngeLink reserves the right to maintain any Unsolicited Material, as well as User Generated Content, and may disclose this information if required by law or if we believe that we may need to maintain this information to comply with applicable laws or government regulations; to protect the property, rights, or safety and security of AngeLink, our Users, or others; or to enforce these Terms of Service.

You represent, warrant and guarantee that you own all right, title and interest and/or proper consents to your User Generated Content as well as all trademarks, service marks, and rights of publicity/privacy relating to the same. You hereby expressly grant AngeLink and Users the worldwide, nonexclusive, royalty free, transferable, perpetual, sublicensable and irrevocable license to copy, upload display, modify and store your User Generated Content pursuant to your Campaign or Donation for the potential advertising, promotion, marketing of any kind. If your User Generated Content includes your photo, name, or image, you hereby expressly release and hold harmless AngeLink, our designees, third-party partners, and our employees from any and all claims such as (but not limited to) libel, publicity or invasion of privacy, as well as liability for other claims if any image is distorted or altered for any reason.

You also hereby expressly release and hold harmless AngeLink, the AngeLink Foundation our designees or affiliates, third-party partners, and our employees from any and all claims relating to marketing, exposure or exploitation of your image, photo, name, information, as well as all User Generated Content for any liability for claims made by you, or any successor to any claim. You hereby waive any right to approve or inspect any information or content that may be generated by AngeLink, the AngeLink Foundation, our assigns, or our designees for any reason.

If any other person or entity other than you as the rightful Campaign Organizer appears in your User Generated Content, you represent, warrant and guarantee that you have secured all necessary rights, permissions, waivers, releases and/or licenses from such person(s) and/or entity(ies) for the benefit of AngeLink required and as set forth in our Terms of Service. You acknowledge and agree that you will not receive any financial compensation for any reason whatsoever associated with such User Generated Content rights, waivers, licenses, and releases as set forth herein and that the only consideration you will receive is the opportunity to access the Platform. User Generated Content may not appear on the Platform as we reserve the right (but not the obligation) to edit, modify, suspend, or remove any User Generated Content. We reserve these rights at our sole and exclusive discretion and without notice to you for any reason that may include receipt of claims, allegations, and request for information from authorities relating to such User Generated Content. If we believe, in our sole and exclusive discretion, that you may have violated any provisions of these Terms of Service, we reserve the right to suspend, hold, block, or remove any User Generated Content from the Platform.

6.1 THIRD-PARTY CONTENT AND/OR SERVICES.

AngeLink and the AngeLink Foundation are not liable for any materials, information, or content of a third-party or User Generated Content and is not limited by any reason, error, or omission in any circumstance. AngeLink is not liable for any damage or loss for any reason that may have occurred as a result of the use of our Platform or any User Generated Content. Users on the AngeLink Platform acknowledge that AngeLink is not able to review, edit, or pre-screen User Generated Content. AngeLink reserves the right but not the obligation, in our sole and exclusive discretion, to suspend, remove, hold, or investigate any User Generated Content on the Platform for any reason or for no reason at all. We reserve this right at any and all times or without notice, and without any liability to you or to any third-party for any damages, costs, losses or claims that may result from the foregoing.

The AngeLink Platform and third-parties may provide tools, widgets and/or links that enable access to third-party services and/or sites. AngeLink and the AngeLink Foundation have no control over any third-party services, and/or sites. AngeLink and the AngeLink Foundation does not endorse and is in no way responsible for any third-party services and/or sites. Users acknowledge and agree that AngeLink is not liable or in any way responsible for the content, information, or legality of third-party services and/or sites.

AngeLink and the AngeLink Foundation is not liable or responsible in any way whatsoever for any loss, damage, cost, or expense that may be caused or deemed to be caused by any third-party services and/or sites, including any information and/or content. You acknowledge and agree that any third-party information, content, service and/or site that you access while using the Platform is subject to the terms of service provided by these third-parties and you acknowledge and fully agree that AngeLink is not liable for any claim, damage, or loss that you may experience in any way related to such third parties.

If you communicate with a third-party regarding a Campaign or a Donation by submitting third-party data or permitting the Platform to automatically access third-party data that may be in your possession, you acknowledge and expressly agree that you have the authority to give AngeLink access to use the third-party data and that you have notified the third-party of how their information may be collected and used by AngeLink. AngeLink reserves the right to identify you as the person who has made the referral in any messages sent to the third-party in its sole discretion. We may use this data to provide messages, reminders, and communications to the third-party through the Platform.

7. MOBILE SERVICES.

The Platform may include certain features available on your mobile device, including browsing, uploading content, and accessing information (“AngeLink Mobile Services” or “AMS”). If you access the Platform on your mobile device, your wireless carrier’s standard charges, data rates, and/or other fees may apply. Please check with your carrier before downloading, installing and/or accessing the AngeLink Mobile Services. By using AngeLink Mobile Services, you agree that AngeLink may communicate with you by text message, MMS, SMS, or other electronic means to your mobile device. You further agree that certain information about your usage of the AngeLink Mobile Services may be disclosed to AngeLink. If you change or deactivate your mobile phone number, you agree to update your AngeLink account information as soon as possible to ensure that messages are sent to your updated contact information.

8. PROHIBITED USES.

AngeLink reserves the right to suspend, disable, or ban any User’s use of the Platform at any time to remove offensive, inappropriate, unethical, false, or untrue information, including, but not limited to, User Generated Content, user accounts, profiles and/or Campaigns. These actions may include suspension, removal, or termination etc. of your Campaign or your account, as well as a freeze and stop payment on any or all Donations to your Campaign. AngeLink also reserves the right to inform appropriate law enforcement authorities or legal action to seek restitution on behalf of our Users and AngeLink.

AngeLink reserves the right, in our sole and exclusive discretion, to suspend, terminate, or remove any Campaign from our Platform or via the AngeLink Foundation at any time that we believe to be inappropriate, or unacceptable for any reason. Below are types of User Generated Content, information, Campaigns and/or uses that are prohibited by AngeLink on our Platform and the AngeLink Foundation at all times and may cause AngeLink and the AngeLink Foundation to disable, suspend, remove, terminate, or hide User Generated Content or a Campaign.

8.1 Information or User Generated Content that AngeLink and the AngeLink Foundation believes, in our sole and exclusive discretion, promotes any kind of intolerance relating to ethnicity, race, religion, sexual orientation, gender identity, or disability, harassment, bullying, discrimination, violence, terrorism, or hate of any kind.

8.2 User Generated Content or any Campaign that is misleading, inaccurate, false, fraudulent, dishonest, or is used to cause reputational or other harm.

8.3 User Generated Content or any Campaign that is used for promoting or obtaining any controlled substance, narcotics, drugs, steroids, medications, therapies, pharmaceuticals, medication, or medical equipment that is regulated by a local, state, or federal regulatory authority, and/or is prohibited or illegal under such authority.

8.4 User Generated Content or any Campaign used for promoting any type of contest, sweepstakes, auction, lottery or raffle ticket, sports or fantasy betting, casino games, animal racing, and any other activity that promises a prize or involves any kind of gambling.

8.5 User Generated Content or any Campaign used for promoting the use of firearms, guns, knives, explosives, ammunition, or weapons.

8.6 Any Campaign with any graphic, sensitive, offensive, sexual content or pornography, or promoting the exploitation of an individual, including, e.g., human trafficking, bribes, bounty, or potential ransom.

8.7 Any Campaign that AngeLink and the AngeLink Community Foundation believe, in their sole and exclusive discretion, is for the legal defense of any potential crime, including fraud, deception, or any financial crimes associated with any of the following: investment opportunities; loans; equity; annuities; lottery tickets; debt collection; lending/factoring; international banking transactions; check cashing; currency exchanges; crypto currencies; referral or network marketing schemes; investment schemes that may promise a reward including credit repair or debt settlement services; lines of credit or any cash advance; card testing; evasion of card network chargeback monitoring.

8.8 Any Campaign offering the sale or exchange of goods that are not fully owned by the User. Attempting to collect payments on behalf of payment processors or merchants as self-payments in an effort to circumvent AngeLink’s method of payment, or any Campaign in support of a person alleged to have committed a financial crime, including but not limited to bribery, corruption, fraud, or tax evasion.

8.9 Any Campaign that may contain computer code, software files, or a virus that may be designed to disable, limit or destroy any computer software or hardware as well as any Campaign that AngeLink or the AngeLink Community Foundation deems (in our sole discretion) may be a security or privacy risk to any individual or that may be an unauthorized advertising, commercial marketing activity such as “spam,” or “junk mail,” or any other form of solicitation that AngeLink and the AngeLink Community Foundation believes to be inappropriate for any reason or which we believe may expose AngeLink, the AngeLink Community Foundation and/or our Users or Donors to liability or harm for any reason.

8.10 Any Campaign offering the sale of products or services, resale of items without proper authorization, and unauthorized sale or resale of any product or service that are exported or imported without proper authorization. This includes Counterfeit materials of any kind or other licensed or non-licensed materials without the proper authorization from the rightful owner.

8.11 Any User collecting or donating funds on our Platform or via the AngeLink Community Foundation for any purpose other than that described in a Campaign. Any service or product that may infringe upon a patent, copyright, trademark, trade secret of any third-party. Any Campaign that may infringe on the proprietary rights of others. All Users on the AngeLink Platform expressly agree to not disrupt or interfere with networks or servers connected to the Platform or to abide by all requirements, policies, and regulations connected to our Platform;

9. USER AND DONOR OBLIGATIONS.

In using the AngeLink Platform or making a donation via and the AngeLink Community Foundation, all Users expressly agree to:

9.1 Not engage in inappropriate or illicit conduct of any kind on our Platform that, in our sole and exclusive discretion, hinders or restricts other Users from fully utilizing our Platform.

9.2 Not gain access to another User account, network, or computer system for any illegal, unethical, inappropriate or unauthorized means, or to attempt to access information or content that is not available to the public through the Platform.

9.3 Not raise funds for a minor without the express permission of the minor’s parent or guardian unless the funds are directly transferred into an authorized trust account for the sole benefit of the minor. Not to impersonate, or falsely represent any other person, entity, or Charity on our Platform or via the AngeLink Community Foundation for any reason or to use another User’s URL or account for any reason without their express permission.

9.4 Not engage in any activity or conduct that is inconsistent with the purpose of the Platform or via the AngeLink Community Foundation as well as not collecting or publishing any personal data without such person’s explicit written consent or to upload User Generated Content on behalf of someone else or a third party or post any personal data without their express consent.

9.5 Not to upload, deploy, or transmit any information or content or Platform features or software for any commercial solicitation to promote any third-party advertisement or Charity except for appropriate Campaign fundraising activity pursuant to the legitimate AngeLink Terms of Service as outlined herein.

9.6 Not gain access, disrupt, or interfere for any reason with our Platform, network, or services or dishonor or disobey any AngeLink network requirement or service that AngeLink may utilize on our Platform. Additionally, you expressly agree not to cause AngeLink to lose any portion of our Platform with our web hosting company, vendors, or Internet Service Providers or to cause any liability for AngeLink.

For all Users and Donors who access the AngeLink Platform by any means or who may make a Donation through our Platform or via the AngeLink Community Foundation, you fully agree to:

9.7 Not make a Donation to any Campaign that you suspect or know to be fraudulent, inaccurate, or suspicious for any reason. You agree to record and maintain a copy of all your electronic records that may relate to your Donation or Campaign in order to verify compliance with AngeLink Terms of Service as required. You also expressly agree to make these records fully available to AngeLink and the AngeLink Community Foundation upon request as well as to maintain proper documentation as may be required by applicable rules, regulations, or laws as appropriate.

9.8 To fully cooperate in the auditing of all your User, Campaign, and Donation information, content, and records at any time so that AngeLink and the AngeLink Foundation is able to investigate alleged violations of these Terms of Service for any reason,including without limitation all information, materials, and content in the event AngeLink, the AngeLink Community Foundation our payment processing partner, or a governmental or regulatory authority pursues an investigation of you, your Campaign, or Donation.

9.9 To undertake standard security measures to fully safeguard and protect all information received, transmitted, or uploaded through our Platform as well as to adhere to all security and safety controls and guidelines required by AngeLink.

9.10 Upon investigation of a User, Campaign, or User Generated Content, we reserve the right to review all information and materials including any and all social media information or any other materials that we believe, in our sole and exclusive discretion, may be necessary to review for this purpose.

9.11 You will act in an ethical and responsible manner and will not infringe others’ rights in any way, and that you will comply with all applicable financial reporting and laws and regulations relating to tax reporting, registration, asset disclosures and/or political contributions for your Campaign. You also consent and expressly agree that any election fundraiser you may establish on our Platform is created and managed by a properly registered U.S. organization and that your campaign fully complies with all appropriate regulations and election laws.

You also represent and fully warrant that you have the authority and any necessary consent under applicable law to share any personal data or any third-party data on the AngeLink Platform for any reason. When using the AngeLink Platform or making a donation via the AngeLink Community Foundation you authorize us to provide any and all information relating to your Campaign to Donors, the Beneficiary, law enforcement, a regulatory authority, or a financial institution as may be required.

10. IDENTIFYING FRAUDULENT ACTIVITIES.

AngeLink and the AngeLink Community Foundation seek to identify any potentially fraudulent activity and/or the possible misuse of funds raised. If you believe for any reason that a Campaign Organizer is not raising funds or using funds for their described Campaign purpose, or have related concerns about a Campaign, please click on the “Report” button on the Campaign to inform us and we will investigate this potential issue.

11. ANGELINK’S INTELLECTUAL PROPERTY.

You acknowledge and fully agree that the Platform contains features that are protected by trademarks, copyrights, patents, or other proprietary trade secrets or rights. You acknowledge and fully agree that you will not copy, change, rent, lease, sell, or create derivative works based on the Platform except as it applies to your User Generated Content for your legitimate Campaign. You acknowledge and agree that you will not use any spiders, data mining, scraping or other data gathering methods on the AngeLink Platform. If AngeLink chooses to block you from accessing our Platform such as blocking your IP address, you agree not to attempt to circumvent this blocking by using a proxy IP address, or diverting or masking your IP address. Any use of the Platform or its content other than described herein, is strictly prohibited.

The AngeLink and and the AngeLink Community Foundation name and all our marks, slogans and logos are service marks and trademarks of AngeLink. Any other company, service mark or product logos shown on the Platform are the trademarks or service marks of vendors and other third-party owners. Third-party trademark or service mark owners may not be affiliated with AngeLink and nothing in our Terms of Service or the Platform shall be deemed as a grant, license or right to use any of AngeLink Trademarks displayed on our Platform, without our prior written consent. All goodwill generated from the use of AngeLink Service Marks and Trademarks shall insure to our exclusive benefit.

All rights per these Terms of Service not otherwise acknowledged herein are reserved by AngeLink and/or their respective owners. You acknowledge and agree not to use the Platform for any reason other than in full compliance with these Terms of Service. The software and technology underlying our Platform or used in connection with our Platform are the property of AngeLink and/or third parties. You agree not to modify, copy, reverse engineer, or create a derivative work or attempt to unveil any source code, sell, sublicense, or attempt to transfer at any time to any one for any reason.

12. MAINTAINING DATA RELATED TO CAMPAIGNS AND ACCOUNTS.

AngeLink has no obligation to retain your Campaign or account data and AngeLink may delete data, terminate accounts, or terminate campaigns without notice for any reason. Notwithstanding, may provide reasonable notice to Charity campaigns or accounts where possible.

13. COPYRIGHT NOTICES UNDER THE DMCA.

At AngeLink we honor the intellectual property of others, and request AngeLink Users to do the same at all times. If a User’s work has been copied, altered, or used in a way that violates copyright laws you may notify AngeLink pursuant to our Terms of Service. AngeLink will investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and/or other intellectual property laws that may apply. DMCA notifications should be sent to legal@angelink.com.

Your DMCA notification must contain: 1) an electronic and/or physical signature of the person authorized to act on the copyright’s owner’s behalf; 2) a description of the intellectual property or copyright work that you claim has been infringed or misused; 3) a description of where the information is located on the AngeLink Platform; 4) your name, address, telephone number, and email address; 5) a statement that you have a good faith belief that the alleged use is not authorized by the intellectual property owner, its agent(s), or the law; and 6) a statement under penalty of perjury that the foregoing information is accurate and that you are the intellectual property owner or authorized to act on the owner’s behalf. If you believe that your User Generated Content that was disabled or removed is not infringing on the lawful right of a copyright owner, please contact AngeLink at legal@angelink.com.

Pursuant to applicable law and DMCA regulations, AngeLink reserves the right to terminate any User using the AngeLink Platform for inappropriate, unethical or illicit behavior as well as suspend, remove, limit or terminate access to The Platform at any time for anyone who infringes on the copyright or intellectual property rights of others at any time.

14. INDEMNIFICATION.

You acknowledge and fully agree to indemnify, release, hold AngeLink, the AngeLink Community Foundation, its designees, employees, directors and officers, harmless from all damages, losses, costs and/or expenses, as well as all attorneys’ fees, claims, damages, awards, fines, as well as injury or death that may arise from your use of the Platform, a Campaign, Donation or User Generated Content. You also indemnify, release and hold AngeLink and its designees, employees, directors and officers harmless from any and all damages, losses, costs and/or expenses with your access to the as well as any violation of these Terms of Service or your violation of any rights of User or third party. You acknowledge and agree that AngeLink and the AngeLink Community Foundation have the right to conduct its own defense against any claim whatsoever and that you will indemnify AngeLink and the AngeLink Community Foundation for the costs of its defense including all attorney’s fees, court costs and any other fees or expenses that AngeLink and the AngeLink Community Foundation may incur related thereto.

If you are a resident of California, by accessing the Platform you waive California Civil Code Section 1542, indicating “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that if known by him or her would have materially affected his or her settlement with the debtor or released party.” If you are a person who is a resident of another jurisdiction in the U.S.A. or outside the country you fully agree to waive any similar statute, regulation or law.

15. DISCLAIMER OF WARRANTIES.

THE ANGELINK PLATFORM AND SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. ANY USE OF THE ANGELINK PLATFORM OR SERVICES SHALL BE DEEMED AT YOUR OWN RISK. ANGELINK AND ITS DESIGNEES HEREBY EXPRESSLY EXCLUDE AND DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL REPRESENTATIONS, CONDITIONS AND WARRANTIES OF ANY EXPRESS OR IMPLIED INCLUDING ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR WARRANTY OF MERCHANTABILITY, NON-INFRINGEMENT AND/OR TITLE. ANGELINK AND ITS DESIGNEES MAKE NO WARRANTY THAT THE ANGELINK SERVICES WILL MEET USER REQUIREMENTS, THAT ALL TRANSACTIONS WILL BE ACCURATE OR SECURE, OR THAT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED AT ANY TIME. ANGELINK AND ITS DESIGNEES MAKE NO WARRANTY THAT INFORMATION AND RESULTS ON OUR PLATFORM WILL ALWAYS BE RELIABLE, OR ACCURATE NOR CAN WE GUARANTEE THAT SERVICES WE MAY PROVIDE WILL MEET USER EXPECTATIONS AT ANY TIME.

16. LIMITATION OF LIABILITY.

Users expressly acknowledge and agree to the fullest extent permitted by law, that AngeLink, the AngeLink Community Foundation nor its designees will be liable for any direct, indirect, consequential, exemplary or punitive damages for profit loss, loss of use, goodwill, loss of corruption of data, and/or any other intangible loss. The above remains in effect even if AngeLink and the AngeLink Community Foundation have been previously advised of the potential of any damages whether due to negligence, contract or tort liability or any other cause resulting from the use or inability to use the Platform for any reason.

You expressly acknowledge and agree to hold AngeLink and the AngeLink Community Foundation harmless for the loss of data, the cost of procuring substitute services or products, or information or messages received or delivered or any transaction made on the AngeLink Platform or via the AngeLink Community Foundation as well any rewards, prizes or promotions made on the AngeLink Platform or via the Angelink Community Foundation at any time including any inappropriate transaction, transmission completed in error or unauthorized access to our Platform. You hereby acknowledge and agree pursuant to the above that for any other issue relating to third-party services on the AngeLink Platform and the AngeLink Community Foundation to the fullest extent permitted by law, and in no event will AngeLink’s or the AngeLink Community Foundation total liability to you for any losses, damages, including all negligence, contract, statutory liability or other cause of action exceed the amount you have paid AngeLink in the prior six months or if this is greater than one-hundred dollars ($100).

We are aware that some U.S. jurisdictions may not allow the exclusion of certain warranties or the limitation or exclusion of liability for consequential or incidental damages therefore some of the limitations set forth herein may not apply to you if you are a resident of certain jurisdictions. If for any reason you are not satisfied with any part of the Platform or these Terms of Service, your sole and exclusive remedy is to discontinue use of the Platform.

17. ARBITRATION.

By using the AngeLink Platform, or making a donation via the AngeLink Community Foundation you agree that any disputes that may arise between us will be resolved by binding, confidential, individual arbitration and you hereby waive your right to a jury trial or to participate in or initiate any class action litigation. Please carefully review the disputes section below, because by entering into this agreement you expressly acknowledge and agree that you have read and understand all of the terms of this binding agreement. In addition, when using the Platform you will be subject to additional applicable policies including without limitation, our Privacy Policy which is hereby incorporated by reference into the AngeLink Terms of Service (provided, however, in the event of conflict, these Terms of Service take precedence). AngeLink or the AngeLink Community Foundation will resolve any such conflicts in our sole discretion, and all of our determinations shall be final.

Any arbitration between you and AngeLink or the AngeLink Community Foundation shall be settled under the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules as outlined in these Terms of Service. You may obtain the AAA filing forms by contacting AAA directly.

If a party intends to seek arbitration you must send a written notice of the dispute to the other party by Express Mail with signature required or by certified Mail or if the other party has not provided a current physical address, then by email. The Notice of Arbitration must describe the basis of the dispute or claim and set forth the demand for relief sought. AngeLink or the AngeLink Community Foundation will make a good faith effort to resolve the claim directly, but if we are not successful within 60 days after the Notice of Arbitration is received, either party may initiate arbitration proceedings. All arbitration proceedings between us shall remain confidential. In the arbitration, the amount of any settlement offer made by either you or AngeLink shall not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the arbitrator awards you an amount which exceeds the last written settlement amount offered by AngeLink or the AngeLink Community Foundation in settlement of the dispute prior to the award, we will pay you the higher of the amount awarded by the arbitrator or $10,000.

If you commence arbitration in accordance with these Terms of Service, AngeLink or the AngeLink Community Foundation will reimburse you for your payment of the filing fee unless your claim is for more than $10,000 in which case the payment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at an agreed upon location, however if the claim is for $10,000 or less, AngeLink or the AngeLink Community Foundation may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator; through a telephone hearing or in-person hearing as established by the AAA Rules in the county of your billing address. If the arbitration finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in the Federal Rule of Civil procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse us for all monies previously disbursed by AngeLink or the AngeLink Community Foundation that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.

Notwithstanding the above, you may choose to pursue a Dispute in court and not by arbitration if you opt-out of these arbitration procedures within 30 days from the date that you first consent to these Terms of Service (the “Opt-Out Deadline”). You may opt out by mailing a written notification to AngeLink or the AngeLink Community Foundation: 1130 Creekside Parkway, Suite 110835, Naples, FL 34108. Your written notification must include (1) your name, (2) your address, and (3) a clear statement that you do not wish to resolve disputes through arbitration. Your decision to opt-out will have no adverse effect on your relationship with AngeLink. You are responsible for ensuring the AngeLink’s or the AngeLink Community Foundation receipt of your opt out notice, and you therefore may wish to send a notice by means that provide a written receipt. Any opt-out request received after the Opt-Out Deadline will not be valid.

You, AngeLink or the AngeLink Community Foundation acknowledge and fully agree that either party may bring claims to the fullest extent permissible by law against the other only in your or our individual capacity and not as a plaintiff or class action member or any potential class or representative proceeding. Additionally, we both fully agree that the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding or any kind without prior written consent by both AngeLink or the AngeLink Community Foundation and you.

AngeLink or the AngeLink Community Foundation agrees to keep the arbitration proceedings, all information exchanged between us, and any settlement offers confidential, unless required by law or requested by law enforcement, court proceedings or government authority. However, both parties agree that we may each disclose this information to our respective accountants, insurance providers and auditors in confidence. If this disputes section is found for any reason to be unenforceable, then the entirety of this disputes section will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described below will govern any action arising out of or related to these Terms of Service.

You acknowledge and fully agree that you are solely responsible for your User Generated Content and all communications with any other User when you access the Platform and that we bear no responsibility or liability herein. AngeLink or the AngeLink Community Foundation reserves the right to take action and in any way with disputes for any reason.

For any claims or disputes that are not subject to arbitration, as set forth above, you and AngeLink or the AngeLink Community Foundation fully agree to submit to the personal and exclusive jurisdiction of the state and federal courts in Delaware. Any failure of AngeLink or the AngeLink Community Foundation to enforce or exercise any provision or right of these Terms of Service does not constitute a waiver of any kind. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, then both parties hereby agree that the other provisions of these Terms of Service shall remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Platform or these Terms of Service must be filed within one year after such claim or cause of action arose or it shall be forever barred.

18. NOTICE.

Any notices to you may be made by email or regular mail to the address(es) provided by you. AngeLink or the AngeLink Community Foundation may also provide notices to you of changes to these Terms of Service or other matters by displaying notices or links to notices on the AngeLink Platform.

19. NO WAIVER.

If AngeLink or the AngeLink Community Foundation fails to enforce any of our rights, this will not result in a waiver of that right or any other rights whatsoever.

20. ASSIGNMENT.

AngeLink or the AngeLink Community Foundation reserves the right to assign or delegate our rights, or obligations herein without prior notice in connection with a merger transaction, reorganization, sale or acquisition of any kind. Nothing in these Terms of Service shall prevent AngeLink from complying with the law enforcement at all times. AngeLink shall not be liable for any failure to perform or delay that may result from causes outside our control, including, but not limited to, acts of war, terrorism, embargos, acts of military authorities, natural disasters of any kind such as floods, fires, accidents, strikes or shortages of any kind such as labor, materials, energy, etc.

21. PRIVACY POLICY.

22. REFUNDS.

Donors understand and agree that Donations are generally not refundable. AngeLink or the AngeLink Community Foundation will consider general requests for refunds within 30 days of donation, and if the donation has not already been transferred to the recipient. If, in our sole and exclusive discretion, a Campaign is determined to be misrepresented, fraudulent, or in breach of these Terms of Service, that Campaign will be terminated and all Donations will be refunded to donors on the original form of payment, to the best of our ability, contributed to AngeLink Community Foundation for its grant-making use, or donated to a similar charity.

Further, Users expressly acknowledge and agree that if the Campaign Organizer fails to enter the proper Withdrawal information and/or provide required verification documentation pertaining to AngeLink’s Nonprofit Alliance within 72 days of receiving their first Donation, such Campaign may be terminated and all Donations will be refunded to donors to the best of our ability, contributed to a similar charity, or to the AngeLink Community Foundation.

23. MINORS.

The AngeLink Platform may be accessed and used by those who have reached the age of majority in their state of residence, which usually means 18 years old. If you are under the age of majority, but at least 13 years old, access to and use of the Platform requires the permission of your parent or guardian, including their agreement to these Terms of Service on your behalf. By using the Platform, you represent and warrant that you are at least 18 years of age or older. The Platform is not meant for, directed to, and may not be used by anyone under 13 years old. Please see the AngeLink Privacy Policy to learn more about the handling of a minor’s data.

24. CAMPAIGN SUSPENSION AND TERMINATION POLICY.

As a Campaign Organizer you may choose to hide or remove your Campaign. You may hide or remove your Campaign on the AngeLink Advanced Settings tab on the Platform.

You may also choose to keep your fundraiser active on the Platform but turn off Donations. This allows you to continue to view, manage, and update your Campaign and keep your Campaign visible on the Platform. When you choose to keep your Campaign visible on the Platform this also allows you to connect, engage, and thank your Donors and to inspire others.

Donors understand that if a Campaign Organizer hides or removes a Campaign for any reason, Donations made to that Campaign will be refunded to the donors to the best of our ability, be contributed to a similar charity, or to the AngeLink Community Foundation.

25. KNOW YOUR CUSTOMER POLICY.

Through our payment processors and third-party vendors, AngeLink utilizes extensive technology platforms that verifies the identities of Users in compliance with legal requirements and current laws and regulations (“Know Your Customer” or “KYC”). Our philosophy is to develop and access up-to-date methods of identification and authentication further leverages our payment processors’ KYC collection of static data elements. Over time we seek to leverage static typologies with more dynamic data to further enhance our transaction monitoring capabilities. These risk-based customer identification programs employ the proper KYC protocols.

26. PCI POLICY.

The Payment Card Industry Data Security Standards (“PCI DSS”) are a set of global security standards designed for companies that collect, process, transmit and/or store cardholder data and/or maintain a secure data environment(s). PCI DSS applies to all companies that accept credit cards or are involved in payment processing. PCI DSS defines a set of technical and operational requirements designed to enhance trust and safety, protect cardholder data, reduce fraud, and minimize the chances of a data breach. PCI DSS applies solely to the people, processes, and technology that collect, store, process and/or transmit cardholder data, known as the Cardholder Data Environment (“CDE”).

AngeLink works with third-party payment processors’ existing frameworks for PCI DSS compliance, with encrypted solutions where AngeLink never sees or has access to unencrypted cardholder data. Our third-party payment processor(s) are solely responsible for the security of cardholder data received and all data is contained in a PCI DSS Level 1 Service Provider CDE. AngeLink works with our third-party payment processor(s) to secure and protect the data and to comply with cardholder data storage requirements.

27. DONOR SECURITY.

AngeLink and the AngeLink Foundation complies with PCI DSS by processing all donations through third-party payment partners who are fully PCI DSS compliant. AngeLink and the AngeLink Foundation follow industry standards regarding security and we fully encrypt all user data in transit. Users should be cognizant of potential phishing emails from potential bad actors on any internet platform. If you do not recognize any transaction(s) on your account, please contact your bank and/or credit card company immediately to report the unrecognized transaction(s). Further, if you receive an email claiming to originate from AngeLink or the AngeLink Foundation and it looks suspicious for any reason, do not click on any links within the email. Please report suspicious emails or websites to our team so that we may investigate immediately, by forwarding the email and any attachments to legal@angelink.com.

28. BANKING.

Our payment processors collect your credit card details, banking information, and any other information necessary to process your Donation. We strive to offer personal information and banking security to our Donors and to Campaign Organizers.

29. ACCOUNT USER POLICY.

Our AngeLink Community Guidelines for Conduct policy prohibits users from uploading or downloading certain types of files and harassing other Users. Furthermore, we prohibit the use of our Platform to break the law, infringe on the security of our Users, post commercial messages, or send junk mail to our Users.

30. ANTI MONEY LAUNDERING POLICY.

AngeLink and the AngeLink Community Foundation remain committed to compliance with all applicable Anti-Money Laundering (“AML”) laws and regulations through our third-party payment processors. We utilize third-party payment processors systems to help identify suspicious activity. These payment processors use customer due diligence features to collect key data applicable to market regulations or KYC requirements for identity verification. Our AML compliance program is in place to combat financial crime by adhering to stringent policies with our payment processors to detect and report suspicious activity. These risk-based customer identification programs utilize up-to-date AML data.

31. CYBERCRIME.

AngeLink’s and the AngeLink Community Foundation policy is to engage and partner with law enforcement in efforts to help stop cybercrime or potential bad actors. Law enforcement can work with AngeLink and the AngeLink Community Foundation subject to standard legal processes with questions or concerns about the broader landscape of cybercrime. We also collaborate with legal, compliance, risk and security teams across the country.

32. SANCTIONS.

AngeLink utilizes third-party payment processor systems to help formulate an AML methodology and sanctions risk assessment as well as OFAC compliance consistent with regulatory guidance to understand, identify and assess any potential risks. We strive to adhere to a risk-based approach for all risk mitigation strategies. Many third-party payment processors actively cross reference and screen accounts and transaction history on a 24-hour basis based on industry and government guidelines and sanctions databases.

33. ENTIRE AGREEMENT.

These Terms of Service constitute the entire agreement between Users, AngeLink and the AngeLink Community Foundation and fully govern the use of the Platform and donations made via the AngeLink Community Foundation. You may also be subject to additional terms of service that may access third-party services, third-party vendors or third-party software or hardware when accessing the AngeLink Platform. These Terms of Service will be governed by the laws of the State of Delaware, without regard to any choice of law or conflict of law principles.

Welcome to the AngeLink Community Foundation (“ACF”) Nonprofit Alliance program. ACF partners with other nonprofit organizations to increase funding for charitable giving and to further our mission to empower women and organizations that support women through charitable grants and distributions. All donations are made directly to ACF, an Internal Revenue Service (“IRS”) registered 501(c)(3) public charity, Federal Tax ID: 85-2671534, as donor-advised funds to a nonprofit charity. ACF is a donor-advised fund. All ACF grants are made as unrestricted grants, therefore ACF is not able to verify how a charity uses funds received from ACF, nor does ACF assume any responsibility with respect to the use of funds. All donors may obtain information about individual nonprofits and use of funds by that charity by reviewing the charity’s own website.

The ACF Nonprofit Alliance includes nonprofits that are enrolled in this program and have become an ACF Nonprofit Alliance partner charity, subject to the ACF Nonprofit User Agreement. ACF reserves the right, in its sole discretion, to also partner with other unenrolled charities/nonprofits that have not expressly agreed to the ACF Nonprofit User Agreement terms or other ACF programs. ACF receives information about charities which may have enrolled in the ACF Nonprofit Alliance and those that may not be enrolled in the ACF Nonprofit Alliance through a third-party database partner that aggregates nonprofit information. ACF uses best efforts to review Nonprofit Alliance partner enrollments. However, we cannot guarantee that a charity enrolled in the Nonprofit Alliance is in compliance with all U.S. state or federal laws and/or registration requirements, which may be subject to change at any time.

ACF reserves the right to partner with other nonprofit or for-profit organizations to further expand charitable donations on our technology partner (AngeLink, Inc.) and/or other third-party websites. All Nonprofit Alliance partners expressly agree to all terms and conditions of our technology partner, AngeLink, as well as its payment processor partners and its applicable policies, as well as other regulations that may apply. ACF makes no guarantee that Nonprofit Alliance partners will receive any donations by utilizing the ACF Platform or the AngeLink Platform.

The ACF Nonprofit Alliance program requires charities to be a tax-exempt nonprofit in good standing with the IRS and state agencies (as appropriate). ACF may access this data through a third-party database partner which aggregates data relating to US-based charities. ACF expressly prohibits potential nonprofit partners who may have breached our technology partner, AngeLink’s Terms of Service or other applicable policies, as well as any nonprofit/charity that has been identified as being subject to sanctions by the United States Office of Foreign Assets Control if confirmed via a third-party partner database. ACF reserves the right to use the logo of charities enrolled in the Nonprofit Alliance on our website as well as on our technology partner, AngeLink’s platform to increase charitable donations. Nonprofit organizations that seek to receive grants from ACF must first enroll in the ACF Nonprofit Alliance in order to receive such grants.

ACF retains sole discretion over all donations received through donor-advised funds, and reserves the right to review and/or seek further due diligence on Nonprofit Alliance partners at any time consistent with our anti-money laundering policy and other policies. If ACF believes there may be suspicious or illegal activity of any kind, ACF may remove a charity from the ACF Nonprofit Alliance at its sole discretion. ACF third-party partners or other ACF affiliated organizations may also remove charities from their websites or partner programs at their own discretion. A charity may request to be removed from ACF Nonprofit Alliance programs by contacting ACF at legal@angelinkcf.org.

ACF attempts, on a best efforts basis, to verify that a nonprofit has not lost its charitable status pursuant to data derived from a third-party nonprofit database. ACF also attempts, on a best effort basis, to ensure that the charity does not promote racial intolerance, hate speech or violence of any kind and that the charity conforms with the ACF Nonprofit Alliance Policy at all times. However, ACF cannot guarantee this. ACF reserves the right to remove a Nonprofit Alliance partner at any time in ACF’s sole discretion.

The policies herein describe AngeLink Community Foundation’s Pillars of Giving program. By using the AngeLink Community Foundation platform, making a donation, or contributing to AngeLink Community Foundation you acknowledge and expressly agree to these Pillars of Giving Policies.

What is the AngeLink Community Foundation Pillars of Giving program?

The ANGELINK COMMUNITY FOUNDATION Pillars of Giving program are unrestricted funds donated from our giving community to support one or more of AngeLink Community Foundation’s core mission areas to support and empower women, or to support a specific emergency or disaster relief cause.

What are the core areas of focus for the AngeLink Community Foundation Pillars of Giving program?
  • Entrepreneurship: We’re committed to helping women business owners and entrepreneurs thrive by facilitating access to capital, mentorship and other types of supports. We periodically distribute grants and mentorship opportunities to women with powerful ideas for businesses, organizations and charities.
  • Education: We believe that women of all ages should have the opportunity to improve their education and professional skills training to be more successful in life. Whether it’s a professional certification in a certain area you need, a training program or a college or graduate degree, AngeLink Community Foundation can help with matching funds in certain instances.
  • Emergencies: When disaster or personal emergencies strike, the AngeLink Community Foundation is ready to help with matching grants and in-kind support in certain areas where we have a partnership opportunity.

Donors contribute money to AngeLink Community Foundation either on our website through our technology partner, (AngeLink Inc.), or at an event, and we direct funds to support one or more of the AngeLink Community Foundation Pillars of Giving. Pillars of Giving expenditures may include grants to further ANGELINK COMMUNITY FOUNDATION’s core mission areas, which may include grants to other nonprofits or organizations to support one or more Pillars of Giving. Donors from the AngeLink fundraising site may make contributions to the AngeLink Community Foundation Pillars of Giving at any time. AngeLink Community Foundation reserves the right to accept or reject a donation at any time.

The AngeLink Community Foundation maintains full discretion and control over all Pillars of Giving funds which may be invested to support innovative and impactful programs in one or more areas consistent with AngelLink Community Foundation’s mission. Funds may also be pooled together to support specific emergency or disaster relief causes. Any income, including any gains earned on funds will be allocated and reinvested back into the AngeLink Community Foundation funds. AngeLink Community Foundation reserves the right to charge an administrative fee based on the total amount of donations to the AngeLink Community Foundation fund(s). AngeLink Community Foundation may also deduct any costs, in its sole discretion, including administrative, accounting, or legal fees to administer and support the operations of the AngeLink Community Foundation fund. Any additional due diligence or research on a nonprofit to enable a grant may require extra fees.

All donations and contributions to the AngeLink Community Foundation are non-refundable and irrevocable gifts to the AngeLink Community Foundation after 30 days of donation and if funds have not already been distributed to a charity, in its capacity as a donor-advised fund. Additionally, all donations and contributions to AngeLink Community Foundation are subject to the AngeLink Community Foundation variance power. Therefore, AngeLink Community Foundation has control over all property of AngeLink Community Foundation funds and full discretion and control over the contributions and donations, including any income earned on funds. All AngeLink Community Foundation distributions and grants are made exclusively for charitable and/or educational purposes in the AngeLink Community Foundation’s sole discretion to further AngeLink Community Foundation core charitable missions through our Pillars of Giving.

The AngeLink Community Foundation accepts donations and contributions to further our charitable purposes, enabling donors to receive beneficial tax deductions for their contributions. The donor recommends grants from unrestricted AngeLink Community Foundation funds to support one or more Pillars of Giving or an emergency/disaster relief cause. The AngeLink Community Foundation cannot be bound by a donor’s grant recommendations, and donors hereby acknowledge and expressly agree that funds can be used to support one or more AngeLink Community Foundation Pillar of Giving as well as emergency or disaster relief cause for charitable purposes.

All grants from the AngeLink Community Foundation Fund must be used exclusively for eligible grant purposes which further the AngeLink Community Foundation ‘s core mission as determined by the AngeLink Community Foundation in our sole discretion. The AngeLink Community Foundation will only make grants to charitable organizations that are tax-exempt public charities, educational institutions, and/or private operating foundations which are US-based organizations or certain international organizations on a case by case basis. In order to receive AngeLink Community Foundation funds, your organization must be enrolled in AngeLink Nonprofit Alliance.

The AngeLink Community Foundation does not approve recommendations for grants to:

  • Political or lobbying campaigns or political activities that are not fully for charitable purposes.
  • Private, non-operating foundations.
  • Non-functionally integrated Type III supporting organizations.
  • Any organization or family member or affiliates (as defined below) of any AngeLink Community Foundation Advisor or Board member.
  • Further, no AngeLink Community Foundation Advisor or Board member may recommend an AngeLink Community Foundation grant that would satisfy or discharge or satisfy a legally enforceable pledge or obligation for themselves, family member or affiliate for any reason.

“Family member” shall mean spouse, domestic partner, ancestor, brother, sister, children, grandchildren or any of the above or any other “family member.” An “affiliate” of a person shall mean a partnership at least 35% owned by profits interest, a corporation at least 35% owned by voting shares, or a trust at least 35% owned by beneficial interest by that person and/or that person’s “family member.“ No Advisor or Board member may recommend a grant that would enable them or a “family member” or “affiliated” person to receive a return benefit, such as the opportunity to attend a fundraising event or dinner, including grants where the receipt of any benefit is paid for separately but contingent on a charitable grant or donation.

You can also request information from certain states as described below. Certain states require written disclosures for nonprofit organizations soliciting contributions, as noted below. Please note that state requirements may change at any time, therefore AngeLink Community Foundation cannot guarantee that this list is up to date at all times. General Provisions:

Your continued access to or use of the ACF Platform constitutes your agreement to this ACF User Agreement as valuable and sufficient consideration and that you agree to be bound by this Agreement.

The ACF Nonprofit Alliance includes nonprofits that are enrolled in this program and have become an ACF Nonprofit Alliance partner charity, subject to the ACF Nonprofit Partner Agreement. ACF reserves the right to also partner with other unenrolled charities/nonprofits that have not expressly agreed to the ACF Nonprofit User Agreement terms, or other ACF programs at our sole discretion. ACF receives information about charities which may have enrolled in the ACF Nonprofit Alliance, and those that may not be enrolled in the ACF Nonprofit Alliance through a third-party database partner that aggregates nonprofit information. ACF uses best efforts to review Nonprofit Alliance partner enrollments. However, we cannot guarantee that a charity enrolled in the Nonprofit Alliance is in compliance with all U.S. state or federal laws and/or registration requirements, which may be subject to change at any time.

ACF reserves the right to partner with other nonprofit or for-profit organizations to further expand donations on AngeLink and/or other third-party websites. However, please note that your organization must be enrolled in the ACF Nonprofit Alliance in order to receive an ACF grant. All Nonprofit Alliance partners expressly agree to all terms and conditions of our technology partner (AngeLink), as well as its payment processor partners and its applicable policies, as well as other regulations that may apply.

ACF partners with charities through our Nonprofit Alliance, which provides information and enables donors to amplify their donations across a potentially larger long-term community by using the ACF platform, including the ACF website and/or mobile applications (the “ACF Platform” or “Platform”).

We accept and process donations from Donors, which we distribute to the Participating Nonprofit Organization recommended by the Donor, pursuant to the terms and conditions of our Donor Remittance Policy. ACF provides donor receipts of their donation with the date that their donation was made to ACF, which may enable Donors to deduct their donation (as permitted by applicable law). You will disregard any additional tax receipt you may receive from an ACF charity partner that may be forwarded to you as a duplicative receipt to ACF’s grant to that charity. ACF grants to a donor-recommended nonprofit are made consistent with applicable laws, regulations and ACF policies. All donations made to a nonprofit on our technology partner’s platform (AngeLink) are made as voluntary gifts to ACF. Your organization must be enrolled in the ACF Nonprofit Alliance in order to receive an ACF grant.

Charities enrolled in our ACF Nonprofit Alliance program must be tax-exempt nonprofits in good standing with the IRS and state agencies (as appropriate). Private Operating Foundations under IRS regulations are not eligible to enroll in the ACF Nonprofit Alliance program. ACF may access this data through a third-party database partner which aggregates data relating to U.S.-based charities. ACF reserves the right to prohibit enrollment of any nonprofit who has been identified as being subject to sanctions by the United States Office of Foreign Assets Control, if confirmed via a third-party partner database.

When you enroll in the ACF Nonprofit Alliance, you agree to be bound by the ACF Nonprofit Alliance Policy as well as any other terms under which the ACF enables our Platform to be made available to charities. You acknowledge and expressly agree to be bound to the ACF Nonprofit Alliance Policy. Charities enrolled in our ACF Nonprofit Alliance agree, acknowledge and expressly consent to ACF’s use of third-party partners who may review and/or validate your status as a Public Charity or Tax-Deductible Organization under the IRS. ACF Nonprofit Alliance partners are treated according to the terms of our ACF Privacy Policy. ACF makes no guarantee that Nonprofit Alliance partners will receive any donations by utilizing the ACF Platform or the AngeLink, Inc. Platform.

ACF retains sole discretion over all donations received through donor-advised funds and reserves the right to review and/or seek further due diligence on Nonprofit Alliance partners and/or recommended organizations at any time consistent with our Anti-Money Laundering Policy and other applicable policies. If ACF believes there may be suspicious or illegal activity of any kind, it may remove the organization from the ACF Nonprofit Alliance at its sole discretion. ACF third-party partners or other ACF affiliated organizations may also remove charities from their websites or partner programs at their own discretion. You acknowledge and expressly agree that you will notify ACF immediately if for any reason, your status as a nonprofit or Tax-Deductible Organization, and/or if the IRS or any state or local government agency initiates an inquiry on your status as a Public Charity.

ACF reserves the right to approve or deny a charity’s enrollment in the ACF Nonprofit Alliance in our sole discretion based on your application and other due diligence. If approved as a charity in the ACF Nonprofit Alliance, you agree to be bound to this Agreement until it is terminated by ACF for any reason. You agree to notify ACF immediately if your charitable status is revoked or changes for any reason.

Registration and Use:

ACF reserves the right to also partner with other unenrolled charities that have not expressly agreed to the ACF Nonprofit User Agreement at our sole discretion. ACF receives information about charities who may have enrolled in the ACF Nonprofit Alliance and those that may not be enrolled through a third-party database partner that aggregates nonprofit information. Your organization must be enrolled in the ACF Nonprofit Alliance in order to receive an ACF grant. To join the ACF Nonprofit Alliance, you must complete the ACF Nonprofit Alliance application where you will be asked to submit the following information:

  • Nonprofit legal name
  • Nonprofit email of an administrator or authorized staff member
  • Nonprofit mission statement
  • Nonprofit logo in electronic form
  • Proof of status as a Public Charity and Tax-Deductible Organization
  • Address
  • Federal EIN Number

As a User of our Platform and/or a Nonprofit Alliance partner, ACF acknowledges and expressly agrees that you retain legal ownership of your charity’s trade names, logos, services marks. You further acknowledge and expressly agree that ACF may, in our sole discretion, post data and information on our programs including Nonprofit Alliance partners on AngeLink and other third-party websites as may be appropriate from time to time to solicit funds to ACF or other enrolled Nonprofit Alliance partners.

As a User of our Platform and/or Nonprofit Alliance partner, you acknowledge and expressly agree to grant ACF a non-exclusive license to use your charity’s Name, Logo and Mission Statement during the term of this Agreement as a Nonprofit Alliance Partner on the ACF Website and our technology partner, AngeLink’s website or Platform, as well as other platforms we may utilize for marketing, outreach and/or email marketing programs. This is primarily so potential donors may easily identify your organization.

As a User of our Platform you acknowledge and expressly agree that ACF is not acting as fundraising counsel or a professional fundraiser on your behalf, and ACF bears no responsibility relating to the same.

You acknowledge and expressly agree that you are solely responsible for bearing all costs and fully complying with all federal, state and local laws, rules and regulations that may be applicable pursuant to this Agreement and to your status as a Public Charity or Tax-Deductible Organization, and ACF has no legal obligation in this regard whatsoever.

In order to receive an ACF grant, your organization must be enrolled as an ACF Nonprofit Alliance partner. Any ACF grants that may be made to you as a Nonprofit Alliance partner will be made pursuant to the information that you have identified in your Nonprofit Alliance application. You agree to take all necessary accessions to authorize ACF to make appropriate transfers to you. You expressly acknowledge and agree that you cannot hold ACF liable if you provided incomplete or inaccurate information relating to your preferred payment method or your bank account (if available). Nonprofit Alliance partners are subject to the ACF Donation Remittance Policy and the Donor Terms of Service.

By using the ACF Platform you acknowledge and expressly agree that donor-advised funds are subject to ACF Donor Terms of Service and grants will be made consistent with applicable laws, regulations and ACF policies, and that ACF’s Nonprofit Alliance program determines the timing and manner of ACF distributions that may apply herein.

Per the ACF Privacy Policy, ACF may disclose information about Donors to you that may include, name, logo, email and mission statement, for the sole purpose of enabling you to thank and acknowledge donations and provide additional information relating to your charitable work. In this capacity you will have the ability to connect and engage with the Donor for this limited purpose and may not use the Donor’s personal information without the Donor’s prior express consent for any other additional purpose, such as marketing purposes.

In addition, you agree that all information provided by you in your Nonprofit Profile is true and accurate at all times. Further, you represent and warrant that during the time of this Agreement that you are tax-deductible Organization or Public Charity status described in sections 501(c)(3) and 509(a) of the Code. Further you agree to deploy funds received from ACF in a manner that is consistent in compliance with all applicable laws, regulations and rules and any requirements governing charitable status and solicitation of charitable donations.

Use of Donated Funds:

ACF reserves the right to not distribute a donor recommended donation to a charity if, in our sole discretion, any of the following apply:

  • You are in breach of this Agreement for any reason and/or at any time you lose your Public Charity or Tax-Deductible Status.
  • ACF is unable to deliver funds to your bank account or by your preferred method of payment pursuant to the ACF Donor Remittance Policy and ACF Donor Terms of Services.
  • Your Nonprofit is not in compliance with applicable laws or has lost its good standing status.
  • Your Nonprofit is in violation of any applicable ACF policy.
  • You have not enrolled in the ACF Nonprofit Alliance.

In each circumstance described above, ACF reserves the right to redirect any donation to another, potentially similar nonprofit entity, or to use or remit the donor-advised funds to further ACF’s mission to support and empower women.

ACF acknowledges and expressly agrees that all Funds granted by ACF may only be used for charitable purposes. Such funds may not constitute a legally binding pledge and may also not be used to engage in the promotion of racial intolerance, hate speech or violence of any kind, and that the charity conforms with the ACF Nonprofit Alliance Policy, at all times. However, ACF cannot guarantee this. ACF reserves the right to remove a Nonprofit Alliance partner at any time in ACF’s sole discretion. You further agree that you will not disparage ACF, AngeLink or any other charity enrolled in the ACF Nonprofit Alliance, or any partner or sponsor thereof, and you agree to comply with the terms and conditions of this Agreement and any terms as described herein.

Proprietary and License Rights:

Users of the ACF Platform from time to time may utilize AngeLink or other partner websites as outlined in this Agreement. During the term of this Agreement and subject to the terms and conditions herein, ACF grants you a non-exclusive, non-transferable, non-sublicensable license to install and download ACF software. You further acknowledge and expressly agree that certain limitations and restrictions may apply to any licenses and rights granted to you herein, that these rights and licenses may be exercised only by employees and agents acting on your behalf, and that these licenses and rights may not be assigned to any other person or entity or used on another’s behalf.

You agree and acknowledge that we own all associated intellectual property rights relating to ACF and that all rights not expressly granted herein are expressly reserved by ACF at all times. Further you acknowledge and agree that this Agreement does not grant a license or any other right to ACF services or the services of ACF partners. Your use of ACF services is subject to the terms and conditions of any agreement between you and ACF pursuant herein. We do not charge you a fee for becoming a Participating Nonprofit or for using the Nonprofit Area or any of our ACF services. In some cases, our e-commerce partners may choose to charge fees on donations made through their platforms, and they will disclose such fees on their platforms.

As a User of the ACF Platform, you acknowledge and expressly agree that you have the right to provide all information in the ACF Nonprofit Alliance partnership and you have the right to authorize ACF to enter into this Agreement on behalf of your nonprofit organization. You expressly concur that you have the right to grant the licenses to ACF herein; and your use of materials or rights licensed hereunder, will not infringe the intellectual property rights or similar rights of any third-party. You may use ACF’s logo in furtherance of your fundraising efforts connected to the Platform.

Indemnification:

When accessing the ACF Platform, you acknowledge and fully agree to indemnify, release, hold ACF and its designees, employees, directors and officers, harmless from all damages, losses, costs and/or expenses, as well as all attorneys’ fees, claims, damages, awards, fines, as well as injury or death that may arise from your use of the ACF Platform, any Nonprofit Campaign, Donation, or any User-Generated Content. You also indemnify, release, and hold ACF and its designees, employees, directors and officers harmless from any and all damages, losses, costs and/or expenses relating to your access to the Platform, as well as any violation of these Terms of Service or your violation of any rights of any User, charity, organization, or other person.

You acknowledge and agree that ACF has the right to conduct its own defense against any claim whatsoever and that you will indemnify ACF for the costs of its defense including all attorney’s fees and any other fees or expenses that may apply for any reason. If you are a resident of California, by accessing the Platform you waive California Civil Code Section 1542, indicating “[a] general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that if known by him or her would have materially affected his or her settlement with the debtor or released party.” If you are a person who is a resident of another jurisdiction in the U.S. or outside the country, you fully agree to waive any similar statute, regulation or law.

If ACF requires you to provide defense of any matter for which indemnity may be due herein, ACF may participate in such defense by counsel of its choice at its own expense. Unless ACF first provides consent in writing, you are not permitted to settle any claim for which indemnity is due hereunder, unless such settlement completely and forever releases ACF and the other indemnified parties with respect to such claim, or unless ACF provides its prior express written consent. Any settlement imposing or requiring ACF to take or refrain from taking any action will require the prior express written consent of ACF Nonprofit Alliance.

Misc. Provisions:

ACF provides our programs to charity partners (if approved in or sole discretion) to amplify the impact of charitable donations. In accessing the ACF Platform, you acknowledge and expressly agree that ACF provides these services on a best effort basis, and makes no further representations or warranties thereafter (whether express or implied), nor do we make any representation or warranty about the performance, accuracy or availability of the ACF Platform. Further, you acknowledge that ACF makes no representation or warranty relating to registration requirements or applicable state or local tax regulations relating to any potential tax benefits under this Agreement.

In no event will ACF be liable to you for any reason regardless of the nature of the claim, including failure or delay in remittance, cost delay, lost revenue, lost data or any other reason. If you have authorized a third-party to enter into this Agreement on your behalf (such as an association, agent or nonprofit organization), you agree that you are responsible for any acts or omissions pursuant to that third-party contractor, and that ACF has no responsibility under this Agreement or any liability arising from any third-party’s act or omissions. You acknowledge and expressly agree that this Agreement serves as the core document between you and ACF herein.

This Agreement is effective upon acceptance and approval of your charity’s ACF’s Nonprofit Alliance partnership and remains in effect until terminated by either party. You may cancel your enrollment in the ACF Nonprofit Alliance program at any time, for any reason by providing 7 days advance written notice to ACF of your intent to do so.

If you breach this Agreement at any time, ACF may determine in our sole discretion that you are in violation or breach of this Agreement and may not permit you to remedy this breach. ACF reserves the right to terminate this Agreement for any reason and at any time by notifying you in writing in accordance with the terms of this Agreement. If ACF removes your nonprofit from our Platform at any time, we will attempt on a best effort basis to remove your charity’s name, mission statement and logo from the ACF Platform at which time the licenses you have granted to ACF for this purpose will expire.

This Agreement, together with any policies and procedures herein such as the Nonprofit Alliance Policy, ACF Privacy Policy and/or Donation Remittance Policy, constitutes the entire Agreement between ACF and you, and supersedes all previous negotiations, understandings and agreements between ACF and you for any reason. No terms or materials in this Agreement are intended to create a joint venture, partnership, employee relationship, and neither party is acting as an agent of the other party. You acknowledge and expressly agree that neither party has any authority to make any commitments on behalf of the other party or can bind the other party in any way.

By using the ACF Platform, you acknowledge and agree that any donations made on the AngeLink Platform for a nonprofit organization will be granted to recommended charities pursuant to the ACF Donor Terms of Service, on a best efforts basis. Donors will receive a receipt of their donation from ACF with the donation date that their donation was made to ACF and ACF grants will be made consistent with applicable laws, regulations and ACF policies. ACF holds all donations in a U.S. based non-interest bearing bank account prior to grant distribution. However, a charity’s response to ACF correspondence and/or a charity’s response time to enroll in ACF’s Nonprofit Alliance determines the timing and manner of ACF grants.

We provide notice pursuant to this Agreement by any means of contact provided in your Nonprofit Profile and notice will be effective when sent. If you do not provide appropriate contact information as required, you waive your right to receive notices under this Agreement during the period of such failure. Notices from you to ACF must be given by email or other means provided within the ACF Platform and will be deemed distributed when properly received.

ACF reserves the right to further amend this Agreement at any time and for any reason. Please note that all amended AngeLink terms on our Platform shall automatically be effective and legally binding upon 14 days after having been posted on the ACF Platform. Your continuation as a Participating Nonprofit, and/or your continued access to or use of the Platform after such 14 day period will constitute your complete consent and acceptance to all such amended terms. If you do not wish to accept the amended terms, you may terminate this Agreement as set forth in this Agreement. Apart from such posting by us, this Agreement may not otherwise be amended except in a written document (i) that expressly references this Agreement and/or any affected amended terms as posted by us and (ii) that is executed by both you and us.

If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be void, illegal, invalid, inoperative, or unenforceable, the remaining provisions of this Agreement shall not be affected and shall continue in effect, and the invalid provision shall be deemed modified to the least degree necessary to remedy such invalidity.

You may not assign this Agreement without our prior express written consent. Any attempted assignment in violation of the foregoing will be null and void. We may assign this Agreement to any third party without your consent. All the terms and provisions of this Agreement shall be binding upon such assignment, shall inure to the benefit of, and shall be enforceable by the respective successors and permitted assigns of you and us.

The ACF’s failure to exercise any right partially or fully will not be considered a waiver of that right, unless we so state in writing to you. The waiver of any breach shall not prevent a subsequent exercise of such right or be deemed a waiver of any subsequent breach of the same or any other term of this Agreement. Any remedies made available to us by the terms of this Agreement are cumulative and are without prejudice to any other remedies that may be available to us in law or equity.

Any dispute between you and ACF Nonprofit Alliance partners which may not be resolved by negotiation will be submitted to mediation. If mediation fails, such dispute will be handled under arbitration, under the rules of the American Arbitration Association, or any comparable entity you may have subsequently agreed to in writing. Any arbitration award issued by the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction. Notwithstanding the foregoing, you acknowledge that unauthorized use of our proprietary materials, information or technology may cause irreparable harm to ACF for which monetary damages would be an inadequate remedy. Accordingly, we have the right, without necessity of posting bond, to seek injunctive or other equitable relief from any court of competent jurisdiction to protect our rights in intellectual property or confidential information.

All other relevant ACF policies to this Agreement will be incorporated into this Agreement. This Agreement shall be governed and interpreted in accordance with the laws of Delaware regarding its principles of conflict of laws. Venue for mediation, arbitration, or litigation of any dispute, controversy, or claim arising out of, in connection with, or in relation to this Agreement, or the breach thereof, shall be proper only within a mediation or arbitration process or in a tribunal of competent jurisdiction within Delaware.

Welcome to AngeLink Community Foundation, (“ACF”). ACF is a 501(c)(3) public charity, Federal Tax ID: 85-2671534. Its mission is to empower women and organizations that support women through charitable grants and distributions. ACF operates programs to support its mission and partners with other organizations and charities to enable users of our technology partner, AngeLink, Inc. to donate to other nonprofit organizations.

A “Charity” is a non-profit, tax-exempt organization recognized by the United States Internal Revenue Service (“IRS”) as a 501(c)(3), (c)(4) charitable organization. Anyone who accesses or uses the ACF Platform is referred to individually and collectively in these Terms as a “User” or “Users”. For purposes of these Terms of Use: “User” and “Users” may be referred to as “you”, “your” and/or “yours”; and, “ACF” may be referred to as “us”, “we”, and/or “our” and shall mean and include ACF representatives and assigns.

These ACF Donor Terms of Service, constitute a legal, binding contract. They apply to your access to and use of the ACF platform, including the ACF website and/or mobile applications (the “ACF Platform” or “Platform”). ACF reserves the right, under its sole and exclusive discretion to update these Terms of Service as necessary. Your continued access to and/or use of the ACF Platform constitutes your agreement to the Terms of Service as valuable and sufficient consideration, and you agree to be bound by these Terms. If for any reason you do not agree to or accept the updated Terms of Service, you must discontinue your access to and/or use of the ACF Platform immediately.

ACF offers programs to enable donors to fund nonprofits and causes to make a powerful positive impact. Our core values are rooted in fundamental human kindness and compassion. All donations made to a nonprofit on our technology partner AngeLink’s platform are made as voluntary gifts to ACF, which is a donor-advised fund. At the time of donation, donors will receive a tax receipt from ACF. You will disregard any additional tax receipt you may receive from an ACF charity partner that may be forwarded to you as a duplicative receipt to ACF’s grant to that charity.

ACF grants funds to charities enrolled in the ACF Nonprofit Alliance pursuant to the ACF Nonprofit Alliance User Agreement. Charities must be properly enrolled in the Nonprofit Alliance to receive funds.

By making a donation to ACF, you acknowledge and expressly agree that your donation is made to ACF as recognized by the IRS under Section 501(c)(3) as a tax-exempt public charity, Federal Tax ID: 85-2671534. ACF receives donations and remits grants to nonprofit organizations as donor-advised funds. ACF does not grant donor-advised funds to non-operating private foundations or directly to individuals.

When Users make an advised donation to ACF, such donations are made as a voluntary gift to ACF, and Users may recommend that ACF remit your donation as a grant to a recommended nonprofit. ACF is operating as a donor-advised fund for such donations. When you make a donor-advised donation, you expressly acknowledge that the grant will not be used for any impermissible benefits such as to confer a benefit to you, a family member or entity you control, and that the grant does not pay for goods or services that you have or will receive, nor does the grant satisfy a legally binding charitable pledge such as an auction, sweepstakes or gala event for your benefit or that of any family member or affiliate.

By using ACF, you acknowledge that your donations may be granted to recommended charities pursuant to the ACF Donor Terms of Service and that you will receive a receipt of your donation from ACF with the date that your donation was made to ACF. ACF grants will be made consistent with applicable laws, regulations and ACF policies.

All donor-advised ACF grants will be made to nonprofits pursuant to the ACF Donation Remittance Policy. By using ACF, you acknowledge that ACF pursues several protocols to connect and engage with nonprofits pursuant to donor-recommended fund distribution, on a best effort basis, to grant funds to the donor’s recommended charities. However, you acknowledge that ACF does not guarantee that your donation(s) will be successfully granted to your recommended charity, pursuant to the ACF Nonprofit User Agreement. All donations to nonprofits are made through ACF. ACF has express, exclusive legal control and authority over all donor-recommended donations. ACF may redirect funds to another comparable or similar charitable organization, or to support ACF’s mission to support and empower women, if ACF is unable to direct funds per your recommendation. ACF does not guarantee that it will inform you of your donation’s ultimate disposition.

ACF does not charge other nonprofits a fee to process and complete donor recommended grants to charities. However, you acknowledge and expressly agree that any applicable third-party payment or transaction processing fees will be deducted from any ACF donor-recommended grants.

In order for your donation to ACF to be considered tax-deductible, it must be a final, irrevocable gift to ACF, as required by law. Donations to ACF may be refundable within ACF’s sole discretion within 30 days of donation. If, in ACF’s sole and exclusive discretion, a campaign is determined to be misrepresented, fraudulent, in breach of our technology partner, AngeLink’s Terms of Service, or in breach of any ACF policy, that campaign will be terminated and all donations may be contributed to a similar charity or to ACF to be used in its sole discretion. See ACF’s Donation Refund Policy.

Your personal data that may be provided on the ACF Platform will be treated in accordance with the ACF Privacy Policy, and may be shared with nonprofits who are enrolled in the ACF Nonprofit Alliance pursuant to a donor-recommended ACF grant to that charity, unless you have donated anonymously. ACF will not share your data with any charity that is not enrolled in the ACF Nonprofit Alliance.

Indemnity

By accessing and using the ACF Platform you acknowledge and fully agree to indemnify, release, and hold ACF and its designees, employees, directors and/or officers, harmless from all damages, losses, costs and/or expenses, as well as all attorneys’ fees, claims, damages, awards and/or fines that may arise from your use of the ACF Platform, as well as relating to any Nonprofit Campaign, Donation or any User Generated Content. You also agree to indemnify, release, and hold ACF and its designees, employees, directors and officers harmless from any and all damages, losses, costs and/or expenses related to your access to and/or use of the Platform, as well as any violation of these Terms of Service or your violation of any rights of any User, Charity, organization, or other person. You acknowledge and agree that ACF has the right to conduct its own defense against any claim whatsoever and that you will indemnify ACF for the costs of its defense including all attorneys’ fees and any other fees, expenses and costs that may apply for any reason whatsoever. If you are a California resident, by accessing the Platform you waive California Civil Code Section 1542, indicating “[a] general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that if known by him or her would have materially affected his or her settlement with the debtor or released party.” If you are a resident of another jurisdiction, whether in the U.S. or otherwise, you fully agree to waive any similar statute, regulation or law.

Arbitration

Please carefully review the disputes section below. By entering into this agreement you expressly acknowledge and agree that you have read and understand all of the terms of this binding agreement. By accessing and using the ACF Platform, you agree that all disputes that may arise between us will be resolved by binding, confidential, individual arbitration and you hereby waive your right to a jury trial or to initiate or participate in class action litigation. In addition, when using the platform you will be subject to additional applicable policies, including without limitation, our Privacy Policy which is hereby incorporated by reference into the ACF Terms of Service, provided however, in the event of conflict, these Terms of Service take precedence. ACF will resolve any such conflicts in our sole discretion, and all of our determinations shall be final.

Any arbitration between you and ACF shall be settled under the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules as outlined in these Terms of Service. You may obtain the AAA filing forms by contacting AAA directly.

IIf you intend to seek arbitration, you must send written notice of the dispute to ACF by Express Mail with signature required, or by certified Mail, or by email. The Notice of Arbitration must describe the basis of the dispute or claim and set forth the demand for relief sought. ACF will make a good faith effort to resolve the claim directly, but if we aren’t successful within 60 days after the Notice of Arbitration is received, either party may initiate arbitration proceedings. All arbitration proceedings between us shall remain confidential. The amount of any settlement offer made by either you or ACF shall not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the arbitrator awards you an amount which exceeds the last written settlement amount offered by ACF in settlement of the dispute prior to the award, we will pay you the higher of the amount awarded by the arbitrator or $10,000.

If you commence arbitration in accordance with these Terms of Service, ACF will reimburse you for your payment of the filing fee, unless your claim is for more than $10,000 in which case the payment of any fees will be decided by AAA Rules. An arbitration hearing will take place at an agreed upon location. However, if the claim is for $10,000 or less, AngeLink may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephone hearing, or an in-person hearing as established by AAA Rules in the county of your billing address.

If the arbitration finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose, as measured by the standards set forth in Federal Rule of Civil procedure 11(b), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse us for all monies previously disbursed by ACF that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award (if any) are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.

Notwithstanding the above, you may choose to pursue a dispute in court and not by arbitration if you opt-out of these arbitration procedures within 30 days from the date that you first consent to these Terms of Service (the “Opt-Out Deadline”). You may opt out by mailing a written notification to AngeLink: 1130 Creekside Parkway, Suite 110835, Naples, FL 34108. Your written notification must include (1) your name, (2) your address, and (3) a clear and conspicuous statement that you do not wish to resolve disputes through arbitration. Your decision to opt-out will have no adverse effect on your relationship with ACF or services rendered thereby. You are responsible for ensuring ACF’s receipt of your opt out notice, and you therefore may send a notice by means that provide a written receipt. Any opt-out request received after the Opt-Out Deadline as described above will not be valid or binding whatsoever.

Both parties fully agree that the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding or any kind without prior express written consent by both parties. If this disputes section is found for any reason to be unenforceable, then the entirety of this disputes section will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described below will govern any action arising out of or related to these Terms of Service.

ACF agrees to keep confidential the arbitration proceedings, all information exchanged between us, and any settlement offers, unless otherwise required by law or requested by law enforcement, court proceedings or government authority. However, both parties agree that we may each disclose this information to our respective accountants, insurance providers and auditors.

You acknowledge and fully agree that you are solely responsible for your User Generated Content and all communications with any other User when you access the Platform and that ACF bears no responsibility or liability herein. ACF reserves the right to take action in any way regarding disputes for any reason.

For any claims or disputes that may not be subject to arbitration, you and ACF fully agree to submit to the personal and exclusive jurisdiction of the state and federal courts in Delaware. Any failure of ACF to enforce or exercise any provision or right of these Terms of Service does not constitute a waiver of any kind. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, then both parties hereby agree that the other provisions of these Terms of Service shall remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Platform or these Terms of Service must be filed within one year after such claim or cause of action arose or it shall be forever barred.

You can also request information from certain states as described below, as certain states require written disclosures for nonprofit organizations soliciting contributions. Please note that state requirements may change at any time, and therefore ACF cannot guarantee that this list is up to date at all times. Please check with individual states for updated information.

To make donations and/or be enrolled in the ACF Nonprofit Alliance, all donors and nonprofits expressly acknowledge and agree to this Privacy Policy.

This Privacy Policy outlines your privacy rights and applies to the ACF platform as well as all ACF programs and services in all aspects of use. Your use of the ACF platform or related services at any time is considered an express acknowledgement and agreement to the ACF Privacy Policy. For donors to make donations to nonprofits in the ACF Nonprofit Alliance program and for nonprofits to enroll in the Nonprofit Alliance, you expressly acknowledge and agree to the terms and conditions of our third-party technology partner, AngeLink. This Privacy Policy is expressly incorporated into the Terms of Service and applies to all users of any kind who access ACF programs or partnerships without limitation.

ACF partners with our third-party technology AngeLink, Inc. to create this comprehensive Privacy Policy to protect your personal information across both platforms. You expressly acknowledge and agree to the ACF Privacy Policy, (“Privacy Policy”) when you access or use any of our services as stated herein. The ACF platform and related online, mobile application and/or widgets that may be operated by ACF (including its subsidiaries, affiliates, and/or service providers, collectively, “ACF” “we,” “us,” or “our”) enables ACF users to post fundraising campaigns, download a donation link, and accept monetary donations. The ACF Privacy Policy (the “Privacy Policy” or “Policy”) describes and governs how we collect, use, share, and protect user information that may be collected anywhere on the ACF platform.

All users should carefully review this Privacy Policy prior to using the ACF platform. By using any part of ACF services, you consent to the collection, use, and disclosure of your information as outlined in this Privacy Policy. The English version of this Policy is binding, and other translations are for convenience only. If you are a California resident, you may be protected by additional rights that may be found in the California Consumer Privacy Act. AngeLink is the data controller and can be reached by contacting AngeLink, Inc.

From time to time we may notify you of changes to our platform pursuant to our Privacy Policy. ACF uses the information we collect on our platform and through our services under the terms of this Privacy Policy. ACF may use the information we collect to contact users to provide services and information that you request as well as to respond to questions or comments users may have. We may also use this information to send updates, communications, promotions, and information relating to our services. We may also send periodic emails to users relating to usage and interactions on our platform.

1. INFORMATION WE COLLECT.

When you register for AngeLink or ACF services or enroll in the ACF Nonprofit Alliance, we may collect contact info, login details, user photo or video, zip code, country, and other information you provide. Charities and nonprofit organizations will register accounts with contact information, name, address, tax ID, photos, videos, phone number, as well as other information that may be provided by a third-party nonprofit database services company or charitable rating service provider for this purpose. You can edit your information by logging into your AngeLink and/or ACF account as appropriate, or you may direct any questions to legal@angelink.com.

When you create a nonprofit fundraising campaign, we may collect information such as campaign title, campaign category, funding goal(s), general description, photos, and videos. ACF and/or our third-party payment processor partners collect and maintain information related to the withdrawal of funds for each campaign. When a donation is made to a nonprofit, we may collect your contact details such as name, phone, physical address, email address, zip code, country, and/or any other information you provide. Our payment processor partners collect your credit card details and required information to process your donation.

You expressly acknowledge and agree that ACF users may leave feedback, comments, thank-you notes, and other messages for other platform users. All content may be visible and available to the public by default. When you do this, we collect information you provide such as your contact information, message, suggestions as well as any documents you may provide. Any of this information you provide may be shared and may become public information for all our users to share their opinions.

When you use AngeLink and/or ACF services to create a nonprofit fundraising campaign, you provide your city, state, and zip code. All users may be able to view the information you provided when they view your campaign within the AngeLink search function. AngeLink may also use your location information as described herein.

AngeLink and/or ACF may provide a non-profit organization or charity the ability to conduct an event or promotion. When doing so, we may collect your contact information, name, and address in order to properly administer and fulfill awards and prizes, as applicable. We may also collect your information to inform you of announcements, upcoming events, and/or promotions.

2. HOW INFORMATION IS USED.

The information we collect is used to operate our platform and to provide our services, customer support, and reporting functions. We may also use this information for analytics and product development purposes, such as information pertaining to preferences and usage trends to improve usability and security of our system. AngeLink may use user information collected to determine how users interact with our platform to customize and personalize our content, including the language and campaigns on AngeLink homepages based on user locations. AngeLink uses information collected in order to comply with state, local, federal, and/or international laws, defend AngeLink’s legal rights, and to enforce our relevant policies. AngeLink’s legitimate interest is in maintaining our relationship with users, to protect our business, to protect users and the company against fraud, as well as to comply with various legal requirements.

AngeLink user passwords will not be shared with ACF.

3. BACKGROUND CHECK INFORMATION.

Campaign Organizers who organize a fundraiser to benefit a nonprofit that may not be enrolled in the ACF Nonprofit Alliance or listed on our third-party nonprofit database may be required by AnegLink, in its sole discretion, to be subject to a background check. Per AngeLink’s Terms of Service, if AngeLink, in its sole discretion, believes that the fundraiser may be misleading, fraudulent or inaccurate for any reason or that the Campaign Organizer may potentially deceive Donors, AngeLink may require a third-party background check be conducted on the Campaign Organizers and/or the Beneficiaries prior to withdrawal of funds. Depending on the outcome of the third-party background check, AngeLink reserves the sole and exclusive right to conduct further investigations on the Fundraiser, Campaign Organizer and/or Beneficiary as may be deemed necessary, in its sole discretion. AngeLink is not a background check company and does not routinely perform background checks. AngeLink uses a third-party background check vendor to perform background checks. Campaign Organizers and Beneficiaries who are requested by AngeLink to complete a background check will receive communications from the third-party background check vendor requesting them to complete and submit an authorization for the background check. AngeLink does not process or store background check reports and does not control how the background check information is used. However, the third-party background check vendor will notify AngeLink if the Campaign Organizer and/or Beneficiary passes or fails the background check based on relevant factors as determined by AngeLink. By completing a background check, Campaign Organizers and Beneficiaries agree to the third-party background check vendor’s terms of use. Background checks are conducted in an effort to help verify the Campaign Organizer and/or the Beneficiary in an effort to build trust among the AngeLink community.

If the Fundraiser and/or the Beneficiary is notified that he/she failed third-party background check, the Fundraiser and/or the Beneficiary (as applicable) will be advised that he/she may contact the third-party background check company to file a dispute and provide documents to remediate any inaccuracies in the background check per the Fair Credit Reporting Act.

4 LIMITATIONS OF BACKGROUND CHECKS.

It is important to note that background checks can vary in comprehensiveness according to variations among federal, state, county and/or local databases and availability of criminal history and information. Additional limitations may apply in certain jurisdictions as well. Background checks are performed only with the consent of the person about whom the background check is being performed, using information provided by the subject of the background check, such as name, home address, date of birth and social security number. If incorrect information is provided by the subject of the background check, the results of the background check may be inaccurate or have incorrect identifying data, which may impact the results of the background check. Additionally, some databases and/or criminal records may not be reported promptly or accurately, or due to electronic or human error, results may be incomplete or inaccurate. Donors should not solely rely upon background checks to ensure the validity of a Campaign. AngeLink recommends that background checks be performed as only one portion of a Donor’s review of a Campaign worthiness.

5. SHARING OF INFORMATION.

Please note that AngeLink may share information we collect on our platform with ACF and/or certain third parties without notice to users. AngeLink and/or ACF may also hire third-party companies to perform business projects, and we may provide access or share user information with third-party companies for them to complete work on AngeLink’s and/or ACF’s behalf. These services may include, but are not limited to advertising, marketing, data analysis, storage, security, fraud prevention, payment processing and legal services. AngeLink and ACF limit the personal information provided to these types of service providers to the extent that is required to perform their business projects on our behalf. AngeLink and ACF jointly require all third parties to agree to maintain the confidentiality of AngeLink information. We provide user information to other users of the AngeLink platform if you make your information publicly available in a publicly accessible area of our platform. Some information users provide in forums, comments, and customer support communications may be publicly accessible.

If AngeLink engages in the purchase or sale of another business or asset such as a merger transaction, reorganization, dissolution etc., which may include the exchange of due diligence information, user information may be part of the transferred assets. AngeLink and/or ACF have the right to disclose, transfer, and access user information when we have a legitimate belief that it is necessary to comply with state, local, or federal laws including court orders, subpoenas, search warrants, or other legal processes or requirements. ACF responds to inquiries or requests from law enforcement, government, regulatory authorities, or data protection organizations to protect and defend the legal rights, privacy, safety, or property of ACF employees, agents, affiliates, subsidiaries, or agents. We may also do so for our users and to permit us to pursue remedies or participate in or defend against litigation or to limit any damages we may sustain, or to enforce this Privacy Policy or any applicable Terms of Service.

AngeLink and ACF may also share user information with campaign organizers as well as nonprofit beneficiaries. We share user’s names, email addresses, and other information provided in connection with a donation to the fundraiser and campaign beneficiary. AngeLink and ACF users acknowledge and agree that campaign beneficiaries may communicate with you about your donation and may require user information to comply with reporting and legal requirements. AngeLink and ACF may share user information when you consent to the sharing of your information to arrange for specific campaigns with third-party organizations. If you consent to delivering your contact information to a specific partner, we share with the partner organization your name, address, email, and other information with your donation to a specific campaign. When you register for an event on the AngeLink and ACF platform, we share your information with individuals who are organizing the event. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

6. SENSITIVE INFORMATION.

If you choose to provide ACF personal information that may be considered by us to be sensitive, such as (but not necessarily limited to) health information, religious beliefs, or political opinions, we may seek your consent to process this information, unless you provide this information as a public post on your campaign. You are under no obligation to provide us with such information, but should you choose to withhold such information, you may not be able to use some or all of the AngeLink or ACF services. AngeLink may conduct research on our customer comments, interests, demographics, and behaviors based on collected information. AngeLink may collect this information for research purposes as well as other purposes (e.g., to improve the AngeLink services), and we may share this information with our agents, affiliates, business partners and other third parties.

7. THIRD-PARTY INFORMATION.

You may provide AngeLink and/or ACF with third-party information when you share your campaign with friends and family. When doing so, we may request access to information stored in your email or on mobile device address books, such as emails, phone numbers, names, etc. and third-party data (“Third-Party Data”). When you use this type of feature that enables you to communicate with third parties by submitting Third-Party Data to the Services, or permitting the Services to automatically access your Third-Party Data, you acknowledge and agree that you have the authority of the relevant third-party for AngeLink to access and use this Third-Party Data and that you have notified and informed these third parties on how their information is collected and used by AngeLink and/or ACF. We reserve the right to identify you as the referring person for any messages that may be sent to them. We may use Third-Party Data to contact these providers or to send a message and communicate between you and such third-party through AngeLink. We may send additional messages and reminders to third parties on your behalf as permitted under any applicable law. In all cases, any such communications sent to third parties utilizing Third-Party Data will provide the ability to “opt out” of receiving additional similar communications.

8. RETENTION OF INFORMATION.

ACF only retains information for as long as required and to the extent permitted by applicable laws. When user data is no longer needed, ACF will remove it from our system and records. We then anonymize data so that users can no longer be individually identified, in accordance with ACF’s corporate document retention policy. This ACF retention policy is based on various criteria, such as the type of products/services requested by users or provided to users, the time period, as well as mandatory retention periods pursuant to state and federal law, as well as statutes of limitations. Users can control whether certain information is publicly available to others by adjusting the settings in your account. Users may also request in writing copies of personal information about you held by us. If that information is inaccurate for any reason, please let AngeLink know at legal@angelink.com so that we can correct this information.

9. UNSOLICITED INFORMATION SUBMITTED BY USER.

AngeLink also collects information via our customer support pages which may include feedback, user suggestions and/or other unsolicited submissions. When you send us unsolicited submissions you agree and acknowledge that AngeLink and/or ACF is under no obligation of confidentiality regarding your unsolicited submission. You further acknowledge and agree that AngeLink and/or ACF may have your unsolicited submission, idea, or product/service suggestion already under consideration or in development, and grant AngeLink and ACF an irrevocable, non-exclusive, perpetual, royalty-free, worldwide license to use, create derivative works, modify, publish, distribute and sublicense the unsolicited submission. You also irrevocably waive and cause to be waived, against AngeLink and ACF and their users, any claims and/or assertions of any moral rights believed to be contained in such unsolicited submissions. This unsolicited submission section shall survive any termination of your account or AngeLink and/or ACF services.

10. SOCIAL NETWORKING SITES.

AngeLink enables users to log into our platform via other social media networks such as Facebook or Twitter. We do this to make our user experience easier. When users log in via social networking platforms, we ask for your credentials on these systems in order to access our platform. When you add a social networking account to the AngeLink platform or log into our system using your social networking account, we will collect information necessary to enable our platform to access that social networking platform going forward. The social networking platform will then provide AngeLink access to required information that you may have provided to the social networking platform such as your name, contact information, photograph or other information that you allow the social networking platform to share with AngeLink. AngeLink captures, stores, and discloses information in accordance with this Privacy Policy.

AngeLink is not responsible in any way for how a third-party social networking service captures, stores, or discloses your data. AngeLink and/or ACF shall have no liability or responsibility whatsoever for the privacy practices or other actions of any third-party social networking service provider that may be enabled within the AngeLink platform. AngeLink users may post information on social networking sites when they access content through our platform such as on Facebook or Twitter. When Users do this, they are permitting these social networking sites to access information on the AngeLink platform, and are agreeing to their terms of use and privacy policies. You also acknowledge that if you choose to use these features, your followers and subscribers on each social networking platform you enabled may be able to view your content and activity. AngeLink cannot control such visibility.

11. COOKIES AND OTHER TRACKING TECHNOLOGIES.

When you use the AngeLink platform, we automatically receive and store information from devices that you may use to access our platform. This information may be collected passively through various technologies and may include information on your internet browser or your mobile devices, as well as websites, your operating system, location data, IP address, city and state, and/or geo-location if permitted on your mobile device. You recognize and acknowledge that AngeLink and its agents or service providers may store this information. When you interact with AngeLink and/or ACF our web server may send a cookie to your computer or mobile device. Cookies are small data files stored on your hard drive or in device memory that help us improve and keep secure our AngeLink services and your experience. Some cookies that may be required to enable AngeLink services may be considered “functional” cookies, such as login, consent, or chat functions. AngeLink and/or ACF cannot provide its services without the use of functional cookies. AngeLink may also use analytical cookies to maintain, operate, and improve its services from time to time. Some analytical and functional cookies we may use may be by third parties.

Many mobile and web browsers automatically accept cookies. However, if you want to change or prevent this, you can learn more about cookie functionality, including how to block cookies on various browsers and mobile devices, by visiting websites such as allaboutcookies.org to learn more about cookies. By blocking any or all cookies, you acknowledge that you may not have access to all AngeLink services. When accessing the AngeLink platform on your mobile device, you may also update your privacy settings on your device by setting the Diagnostics and Usage settings or Limit Ad Tracking setting screens of your Apple iPhone or iPad. On an Android, you may need to do this via apps available in the Play Store. You can also limit information collected by uninstalling the App on your device.

AngeLink may also use web beacons, which enable AngeLink to track usage information, such as page views. Unlike cookies, web beacons are not placed on your computer, but may be used to access how users interact with AngeLink content. AngeLink may also use pixel tags, clear gifs and web bugs. These small graphic images have an identifier that may be used to track user access to our platform and other data that may be embedded in our web pages. AngeLink may utilize pixel tags to send email messages and if the email was opened. We may use this technology to provide content that may be of interest to our users as well as to reduce messages sent to users. AngeLink does not link pixel tag information in order to identify users.

12. ADVERTISING AND ANALYTICS SERVICES PROVIDED BY OTHERS.

AngeLink may also work with advertising and promotional companies to display ads to you and/or to track information from ads for AngeLink services. In order to show you ads we, as well as our partners, may place cookies or access cookies through our platform. This information may include personal data collected through third-party partners. AngeLink may use cookies or other third-party technology to collect information about your use of our platform such as navigation, customized elements, content, and data. This data may include the number of unique visitors, donors, campaign organizers, and other related information in order to improve and optimize the AngeLink and/or ACF platform for our community.

AngeLink and/or ACF may aggregate or de-identify user information so that it does not relate to users individually. AngeLink and/or ACF reserves the right to use and disclose aggregate and de-identified data for any and all lawful purposes. AngeLink may use third-party analytic services, which may include cookies and other electronic technologies to analyze data from our platform. Information collected therein including your IP address may be disclosed or collected by third-party service providers who work on behalf of AngeLink and/or ACF. This data may be used for advertisements on our platform when users visit other websites.

13. MOBILE COMMUNICATIONS.

When you access the AngeLink platform on a mobile device and provide us with your mobile number or other electronic access to your mobile device, you acknowledge and agree that AngeLink can communicate with you by text message, SMS, and MMS. If you change or deactivate your mobile number, you agree to update your AngeLink account information to ensure that your messages are properly directed to you. Your wireless service carrier’s data rates, standard charges, or other fees may apply where you access the AngeLink platform through a mobile device. In addition, downloading or using certain services on a mobile device may be restricted by your carrier. By using the AngeLink platform on a mobile device, you agree that we may communicate with you regarding text message, SMS, and MMS as well as other electronic methods to your mobile device.

14. LINKS AND DO-NOT-TRACK SIGNALS.

The ACF Privacy Policy applies to AngeLink and to ACF services. The ACF platform contains links to other third-party websites not controlled by ACF. The policies and procedures described herein do not apply to the third-party sites. Users expressly acknowledge that ACF does not endorse and may not have fully reviewed Privacy Policies of these third-party sites, and therefore it is suggested that users contact third-party sites directly for more information on their respective privacy policies, as well as terms of service policies. Do-Not-Track Signals is a privacy preference that users can set in web browsers. ACF may not recognize or respond to DNT signals at this time.

15. TRANSFER OF INFORMATION TO US AND OTHER COUNTRIES.

ACF processes and stores information in the United States of America. Users visiting our platforms from outside the United States, should be aware that your information may be transferred, stored, and processed in the United States. The data protection and other laws of the United States and other countries might not be as comprehensive as those in other countries. By using the ACF platform, you acknowledge and agree to your information being transferred to our facilities and third-party facilities with which we may share your information as described herein.

16. CALIFORNIA PRIVACY RIGHTS.

California law permits residents of California to request certain details about how their information is shared with third parties for direct marketing purposes. We do not disclose your Personal Information to third parties for the third parties’ direct marketing purposes. The CCPA provides California residents with the additional rights listed below.

Right to Know. You have the right to know and see what data we have collected about you over the past 12 months, including:

  •  The categories of personal information we have collected about you;
  •  The categories of sources from which the personal information is collected;
  •  The business or commercial purpose for collecting your personal information;
  •  The categories of third parties with whom we have shared your personal information; and
  • The specific pieces of personal information we have collected about you.

Right to Delete. You have the right to request that we delete the personal information we have collected from you. There are exceptions, however, that include, but are not limited to, when the information is necessary for us or a third party to do any of the following:

  •  Complete your transaction;
  •  Provide you a good or service;
  •    Perform a contract between us and you;
  •  Protect your security and prosecute those responsible for breaching it;
  •  Fix our system in the case of a bug;
  • Protect the free speech rights of you or other users;
  • Comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 et seq.);
  • Engage in public or peer-reviewed scientific, historical, or statistical research in the public interests that adheres to all other applicable ethics and privacy laws;
  • Comply with a legal obligation; or
  • Make other internal and lawful uses of the information that are compatible with the context in which you provided it.

Do Not Sell My Personal Information. You have the right to request that we do not sell your personal information.

Other Rights. You can request certain information about our disclosure of personal information to third parties for their own direct marketing purposes during the preceding calendar year. This request is free and may be made once a year. You also have the right not to be discriminated against for exercising any of the rights listed above.

17. DATA SECURITY.

ACF implements various security processes to protect the information provided on our platform from unauthorized access, disclosure, use, or destruction. ACF also limits access to information to employees and authorized service providers on an as needed basis or as required for the purposes described in this Privacy Policy. Internet and email transmissions across the internet cannot ever be fully secure and error free and email sent to or from our platform may not always be secure. Therefore, ACF recommends that users take this into consideration in disclosing and providing information to us on the internet.

18. MINORS.

The ACF and AngeLink Platform are intended for those who have reached the age of majority in their state of residence, which usually means 18 years old. If you are under the age of majority, but at least 13 years old, access to and use of the Platform requires the permission of your parent or guardian. Users affirm, by use of the Platform, that they are at least 18 years old or are at least 13 years old and have parent/guardian permission. If you believe that a child under the age of 18 has provided personal information to ACF or to AngeLink through our platform, you may contact us at legal@angelink.com and we will delete information from our databases to the extent required by applicable laws. The Platform is not meant for, directed to, and may not be used by anyone under 13 years old.

19. CHANGES TO THIS POLICY.

ACF reserves the right to update and/or modify this Privacy Policy at any time. Updates and changes to our Privacy Policy will be noted on our platform for users to review. If you disagree with revisions to the Privacy Policy, you can deactivate your account or discontinue the use of our services. Users should review the AngeLink Privacy Policy periodically and review any updates or changes to this Policy. Your access to and use of the ACF platform is subject to the Terms of Service and other applicable terms, which may be made available to you in connection with your use of the AngeLink platform.

All donations made through AngeLink Community Foundation (“ACF”) or our affiliated programs are made to ACF, a donor-advised fund recognized by the Internal Revenue Service (“IRS”) under Section 501(c)(3) code as a tax-exempt public charity Federal Tax ID: 85-2671534. All donations to ACF are made as donor recommendations to a charity recommended by the donor. ACF’s Donor Terms of Service establishes the terms under which ACF reviews all donor recommendations pursuant to this Donation Remittance Policy.

By using ACF, donors acknowledge that their donations will be granted to recommended charities only pursuant to the ACF Donor Terms of Service. Donors will receive a receipt of their donation from ACF with the donation date that their donation was made to ACF. ACF grants will be made consistent with all applicable laws, regulations and ACF policies. ACF holds all donations in a U.S. based non-interest-bearing bank account prior to grant distribution. However, a charity’s response to ACF correspondence and/or a charity’s response time to enroll in ACF’s Nonprofit Alliance may determine the timing and manner of ACF grant distributions.

ACF pursues several protocols to connect and engage with nonprofits pursuant to donor-recommended fund distribution, on a best efforts basis, to grant funds to the donor’s recommended charities. ACF grants donated funds to charities enrolled in our Nonprofit Alliance pursuant to our ACF Nonprofit Alliance Policy and ACF Nonprofit Alliance Grant Approval Process on a monthly basis approximately 15 days after ACF’s receipt of funds. This schedule enables ACF to aggregate donations over a 30-day period to reduce transaction and payment processing fees and back office accounting functions on behalf of Nonprofit Alliance charities.

Your organization must be enrolled in the ACF Nonprofit Alliance in order to receive an ACF grant. ACF distributes grants to Nonprofit Alliance charities via check, or in a manner as may be specified by the Nonprofit Alliance charity. Donor-recommended charities will be charged any applicable transaction fees or credit card processing fees pursuant to the third-party payment gateway selected as well as any third-party bank processing fees that may apply. Nonprofit Alliance charities can view any donor-recommended funds, including donor details (who have not donated anonymously) via our ACF technology partner site, AngeLink, Inc.

ACF will attempt, on a best effort basis, to ensure that the charity does not promote racial intolerance, hate speech or violence of any kind and that the charity complies with the ACF Nonprofit Alliance Policy.

If a charity is not enrolled in the ACF Nonprofit Alliance, ACF will attempt to grant funds from donor-recommended donations to these charities on a best efforts basis. Pursuant to payment protocols of our third-party payment processor, ACF will email the charity regarding ACF’s intent to direct donor recommended funds to the charity and invite the charity to enroll with ACF Nonprofit Alliance so that the charity can receive donor-recommended funds. ACF will follow up via email, letter and/or by phone at least 3 additional times in our effort to connect with charities who are not enrolled in the ACF Nonprofit Alliance. If a charity does not enroll with ACF Nonprofit Alliance, for any reason, then ACF will attempt a fourth time to grant the funds for up to 60 days. However, if at the end of this period, a charity does not enroll in the ACF Nonprofit Alliance, and ACF is unable to remit funds to the charity or, if for any reason the check forwarded to the charity is returned or uncashed, then ACF may, in its sole discretion, apply funds to a similar nonprofit organization or to ACF in order to further ACF’s mission to support and empower women and organizations through grants and distributions.

On a best efforts basis, ACF will attempt to direct funds to the appropriate charity pursuant to the donor’s recommendation for the funds. However, ACF retains the exclusive right and all legal control over donor-recommended funds pursuant to the ACF Nonprofit Alliance Policy. If for any reason a charity fails to meet the ACF review and due diligence protocols or fails to accept donor recommended funds for any reason, ACF reserves the right, in our sole discretion, to redirect donor-recommended funds to another charitable organization consistent with the ACF charitable mission to support and empower women.

Your organization must be enrolled in the ACF Nonprofit Alliance in order to receive an ACF grant. Any ACF grants made to Nonprofit Alliance partners will be made pursuant to the information that the nonprofit supplied in the Nonprofit Alliance application. The partner agrees to take any actions necessary to authorize ACF to make appropriate transfers to the Nonprofit Alliance partner and the charity expressly acknowledges and agrees that it cannot hold ACF liable if the charity provided incomplete or inaccurate information relating to its bank account or preferred payment method, (if applicable). Nonprofit Alliance partners are subject to this ACF Donation Remittance Policy, the Donor Terms of Service, and all other applicable ACF policies.

In the event that ACF must redirect a donor-recommended donation to another nonprofit organization or to an ACF program, all donations remain a tax-deductible donation via ACF. If for any reason ACF must redirect donor-recommended funds, ACF will assign funds in support of the ACF mission to empower women and organizations that support women through grants and distributions to other charitable organizations.

AngeLink Community Foundation Programs

Donors expressly acknowledge and agree that all donations made to a nonprofit on our technology partner AngeLink’s platform are made as voluntarily gifts to the AngeLink Community Foundation, (“ACF”), a 501(c)(3) public charity, Federal tax ID: 85-2671534 without conditions. At the time of their donation, donors will receive a tax receipt from ACF. ACF is a donor-advised fund. In order for your donation to ACF be considered tax-deductible, it must be a final, irrevocable gift to ACF as required by law. ACF grants funds to charities enrolled in the ACF Nonprofit Alliance pursuant to the ACF Nonprofit Alliance User Agreement.

Refund Policy

Donations to ACF may be refundable within ACF’s sole discretion within 30 days of donation. By donating, you understand and agree that your donation is nonrefundable if already distributed to a charity by ACF. If, in ACF’s sole and exclusive discretion, a campaign is determined to be misrepresented, fraudulent, or in breach of our technology partner, under AngeLink’s Terms of Service, that campaign will be terminated and all donations will be contributed to a similar organization or to ACF to further its charitable objectives.

ACF, as an IRS registered 501 (c)(3) charity, provides funds to partners of its charitable Nonprofit Alliance every month. ACF is not able to provide refunds for donations that have been already granted to a charitable partner and therefore you must contact the charity partner that received the ACF grant to discuss a potential refund.

Refunds for a donation to a charity are highly unusual and may be granted by a Nonprofit Alliance partner in their sole and exclusive discretion. Circumstances under which a Nonprofit Alliance Partner refund might be granted include:

  • The donation was not authorized by the donor
  • Your donation was made by mistake or was unintentional
  • The amount donated was incorrect

ACF may update, modify or terminate this Policy in its sole and exclusive discretion without notice at any time. This Policy represents the entire understanding between you and ACF regarding potential refunds and supersedes any other oral or written documentation between ACF and you regarding any potential refund or claim. Please also review the ACF Donor Terms of Service as the TOS will supplant any terms of this Policy that may be in conflict for any reason.

This Policy does not constitute a warranty against potential fraud or misuse by a Nonprofit Alliance Partner charity nor does it constitute an insurance contract of any kind. Any terms of this Policy are not transferable or assignable by you. Any decision to grant benefits under this Policy does not constitute a waiver of ACF’s right to decline future payments in our sole and exclusive discretion.

In the event that donations are withdrawn by a nonprofit beneficiary, but later recovered by AngeLink, those donations will be contributed to a similar charity or to ACF to further its charitable objectives. Terms of Service
